Job summary

Amazon's Legal Department is looking for a Corporate Counsel to support our AWS Quantum Computing organization, who is chartered with building and launching AWS's first Quantum computer and Quantum networking technology.

This role provides a blend of counseling and transactional support. The transactions include a variety of complex deal types, such as hardware and software development, technology licensing, procurement, manufacturing and fabrication agreements; SaaS and hosted services agreements; professional, operations and support services; consulting agreements; and sponsored research and lab-use agreements with universities. The business counseling in this role includes product, commercial, and operational counseling on issues such as IP contamination, IP protection and licensing; procurement, supply chain, vendor and infrastructure security; product and trade compliance; and regulatory issues related to quantum technologies. This role will work directly with a wide array of teams across AWS to help shape and implement our Quantum computing legal and operational strategy.

We expect this role to own and deliver on diverse and complex transactions and projects simultaneously. This Corporate Counsel will also review, advise, develop and deliver standard operating procedures policies, trainings and business facing resources to enable the Quantum Computing organization to deliver on its mission. Successful candidates will demonstrate strong organizational and collaboration skills across multiple internal teams and with external customers and counterparties. A clear and concise communication style that is effective across internal and external teams, including technical and non-technical executives, is required.

This position will be based in Santa Monica, CA.

Key job responsibilities

  • Providing business-line counseling to the Quantum hardware, algorithms and networking teams team to enable research, development, testing and deployment of Quantum technology products globally for our customers.

  • Structuring, drafting and negotiating complex commercial and technology-related agreements, including development, proof of concept, manufacturing services, software licensing, services, and other bespoke agreements.

  • Supporting and directly advising business partners on legal, commercial, operational and other risks.

  • Developing, advising on and implementing with the business vendor engagement, contract and negotiation strategies.

  • Collaborating cross-functionally to identify and resolve commercial, operational, compliance, regulatory, security, safety, legal and customer/vendor issues and help develop policy positions on Quantum technology.


  • Juris Doctor (J.D.) and membership in one state bar or equivalent.

  • 5+ years of legal experience (with several years at a leading law firm or in-house experience).

  • Strong transactional, drafting and negotiations experience of complex commercial or technology agreements.


  • 8+ years of legal experience (with several years at a leading law firm or in-house experience).

  • Experience supporting technology development, procurement, manufacturing; technology licensing; and hardware development.

  • In-house experience at a technology company.

  • Proven track record of strong judgment in the absence of precedence, issue spotting and problem-solving skills.

  • Experience providing prompt practical, crisp and actionable legal advice.

  • Ability to lead and influence cross-functionally to root cause and promptly resolve and deliver results on complicated problems.

  • Curiosity and a willingness to learn and grow in a team environment.

This position will support a wide range of commercial/technology transactions for Roku's engineering, operations/supply chain, TV platform, whole home audio, streaming media player, and other teams, including for procurement of a range of technology, products, and services.</p><p>The successful candidate must have deep experience in negotiating complex technology and commercial agreements, be well-organized, have high attention to detail, have a proven ability to draft agreements from scratch and to handle multiple, complex matters simultaneously and independently without supervision.
