What will you be doing in this role?

Corporate Counsel is responsible, under the guidance of the Senior Vice President, Legal Affairs and General Counsel ("GC") the Vice President, Legal Affairs and Deputy General Counsel ("DGC "), Associate General Counsel, and Senior Corporate Counsel, for providing legal services and advice on a wide range of matters for Cedars-Sinai Medical Center, Cedars -Sinai Health System, and other identified affiliates (collectively, "Cedars-Sinai"), with the ultimate objective of optimal legal and strategic advantage for Cedars-Sinai, and for specific projects as assigned. Corporate Counsel has a degree of independence in performing the duties and responsibilities of the position, which will vary depending on the relative complexity of the project. Corporate counsel analyzes and interprets relevant law, advises on strategic, operational and policy matters, participates in enterprise risk management, participates in management of lawsuits, arbitrations and similar proceedings, and develops an understanding of trends and forces shaping the health care industry in the context of legal requirements.

  • May serve as the DLA's representative for Cedars-Sinai initiatives, committees and task forces, based on expertise or experience, as assigned.

  • Develops and maintains subject matter expertise in one or more substantive areas of law that routinely or materially affect Cedars-Sinai operations and strategy.

  • Routinely interacts with outside legal counsel, consultants and experts.

  • Strives to carry out the essential position accountabilities in a timely manner in response to client needs and expectations.

  • Performs all duties in a manner that promotes Cedars-Sinai mission, values, and philosophy and serves as a role model for the values and mission of the organization.


  • Juris Doctorate, Graduate of ABA accredited law school.

  • CA State Bar

  • At least three (3) years of relevant experience practicing law, working as an in house or government lawyer, or any combination of the foregoing. Relevant experience includes at least two of the following substantive legal areas preferably for clients in the health care industry:

  • Health care Law (includes any of the following: regulatory, compliance, provider operations, physician contracting, medical practice foundations, payor relations, medical staff, licensure & certification, clinical trials, medical research and development/technology transfer).

  • Corporate/Governance

  • Real Estate

  • Tax-Exemption/Nonprofit Organizations

  • Labor/Employment

  • Intellectual Property

  • Technology/Technology Contracting

  • Complex Transactions

Working from our Santa Monica, CA headquarters, you'll collaborate with the Corporate Legal team on a wide array of corporate matters, including securities, corporate governance, acquisitions, and investments. This is a great opportunity for a seasoned attorney to join a dynamic legal team in a company that prides itself on being smart, kind, and creative. What you'll do: * Review and evaluate potential acquisition and investment transactions, perform due diligence reviews, structure transactions, draft, review, and negotiate acquisition agreements, and assist with post-closing integration. We are closely involved in all aspects of the transaction, including structuring, drafting, negotiating, and integrating deals to our broader business. Attorneys need to be ready roll up their sleeves to lead the deal, even when we have outside counsel involved. * Advise on corporate finance and securities law matters, including preparing SEC filings such as registration statements, Forms 10-K, 10-Q, and 8-K, and Section 16 reports. You'll be involved in all aspects of the public reporting process, starting from drafting reports to preparing remarks for investor calls. * Manage corporate governance and administration for Snap Inc. and its domestic and international subsidiaries, including preparing Board of Director materials and corporate resolutions, managing local filings, and administering corporate records. We've expanded rapidly in our short history and plan to add new offices around the world to keep up with Snap's business goals. * Develop strong relationships across the company by collaborating with cross-functional teams, including finance, tax, stock administration, accounting, people, strategy, and engineering. We operate as one team and we can only be successful if we are all successful. Be ready to learn about new areas of the business so you can jump in to support. * Assist in creating and improving processes, agreements, and document templates. For many things that we do, there isn't a template or form, so you'll need to draw from your legal knowledge and experience to craft the right document or structure for Snap Inc. * Advise clients on business and legal issues and risks, company policies, and business strategy. You will wear multiple hats in the same meeting to find and implement the right solution for Snap Inc. * Be ready to participate in company initiatives and take on anything that comes your way! Minimum qualifications: * J.D. from an accredited university. * Membership in at least one state bar. * 6+ years of experience practicing corporate law.
