The Job

Our Legal Department, which is 5 strong, is looking to mentor and grow a Corporate Counsel. In this position, you will report to the Assistant General Counsel and have the opportunity to provide practical, timely, and quality legal services to help the Ace Hardware Corporation meet its business objectives, and remain in compliance with laws, rules and regulations applicable to the company's businesses. This position requires a strong generalist with the ability to handle a wide variety of legal issues, with a focus on domestic commercial agreements, credit and financial matters, shareholder matters, international licensing and distribution agreements and international governance.

What you'll do

  • Draft, review and negotiate a wide variety of commercial contracts including professional services agreements, consulting agreements, vendor contracts, software license and hosting agreements, software development agreements and supply agreements, in support of all commercial functions of Ace and its affiliates.

  • Focus on licensing and distribution issues, governance matters and agreements for Ace's international business.

  • Provide support on credit and financial issues involving the company, its retailers and its vendors, including loan agreements.

  • Collaborate and work as part of a team with business leaders and other partners to provide creative solutions to business issues while eliminating or minimizing legal risks.

  • Assist business clients with contract and other commercial disputes that may arise.

  • Work with outside counsel in connection with litigation and regulatory proceedings.

  • Handle day to day legal issues that arise and develop, review and revise various policies, processes, templates and forms.

What you need to succeed

  • Law Degree (Juris Doctor)

  • Licensed to practice law in Illinois

  • 5+ years of legal experience, including in-house corporate law experience

  • Competencies include:

KNOWLEDGE AND SKILL REQUIREMENTS: * Bachelor's degree in Training and Curriculum Design, Communications, Human Resources, Organizational Development, Teaching, or related discipline * At least five (5) years of experience as a trainer – ideally with some time in a corporate environment or with adult learners * Commitment to customer service excellence * Dynamic presentation and facilitation skills delivering instructor-led and web-based/ eLearning training solutions * Outstanding interpersonal, consultative, and influencing skills * Project and time management skills with a "can-do" attitude to effectively meet deadlines * Self-directed and motivated to learn new skills, content, technology and systems applications * Experience with writing procedures and/or documentation * Ability and willingness to receive coaching and feedback * Knowledge of adult learning, instructional design techniques, and evaluation methodologies * Familiarity with training needs analysis: job function analysis, task analysis and audience analysis * Experience working with virtual learning platforms and building digital/virtual learning programs a plus * Highly proficient with technology, including Microsoft products True Group Oak Brook IL
