  • Assist attorneys with corporate governance and commercial and real estate transactions

  • Prepare and assist in preparing various agreements using approved templates

  • Review and analyze various agreements, including, letters of intent, memoranda of understanding, procurement agreements, product supply agreements, non-disclosure and non-use agreements, real estate leases, rights of way

  • Participate and assist in commercial negotiations as requested

  • Maintain proper litigation matter management

  • Manage legal documentation and correspondence; develop and implement digital and cloud-based filing systems

  • Maintain corporate books and records, prepare resolutions, meeting notices, proxies, and powers of attorney

  • Implement and improve upon legal administrative processes for more efficient workflow


  • Bachelor's degree (or equivalent) is a plus

  • Paralegal certification

  • Industrial gas or chemical experience a plus

  • Strong skills with MS Word, PowerPoint, Excel and Outlook

  • Practical knowledge of, and experience with- OneDrive (or similar cloud storage options), DocuSign

  • Familiar with Practical Law/Westlaw/LexisNexis

  • Strong organizational skills

  • Strong work ethic and ability to self-start

  • Ability to execute multiple projects simultaneously

  • Strong attention to detail

  • Ability to work with little supervision and to seek help when needed

  • Strong written and verbal communication skills

Required Education

  • Bachelor degree in related field is a plus

  • Paralegal Certification is required

  • 7-10 Years in corporate governance and commercial transactional experience

Contract Management * Manage contract lifecycle from inception through execution * Support attorneys in drafting and negotiating a variety of commercial transactions, including sales, service, consulting, technology, licensing, non-disclosure, dealer and other agreements * Track contract details and phases until contract execution while continuously communicating progress to supervising attorney and internal clients Communication * Communicate with business and support clients to understand objectives, review and draft contracts, and identify key issues to assist attorneys and internal clients 15% Support & Problem Solve * Under attorney supervision, respond to and resolve small claims matters and escalated customer complaints * Manage, track and work with insurance group and supervising attorney on all insurance subrogation matters for the organization * Support and manage document productions for third party disputes and other document requests (e.g., litigation, arbitration, subpoenas, informal requests), including interfacing with record custodians and conducting document review for responsiveness and privilege Research * Under attorney supervision, research and respond to other legal department requests related to corporate or legal compliance Requirements: * Associates Degree.
