JOB TITLE: Contracts Specialist

SUPERVISION RECEIVED: SVP, Finance

EXEMPTION STATUS: EXEMPT

JOB SUMMARY: The Contracts Specialist will manage, draft, review, and negotiate a wide range of contracts and agreements. This position will be responsible for handling various vendor, freelancer, and music licensing agreements, redlining agreements, coordinating with outside counsel on contract modifications, managing insurance Certificate of Insurance (COI) processes, and managing contract-related requests in Asana. The Contracts Specialist will also create and present client contract summaries to our Client Services and Experience Delivery Groups.

RESPONSIBILITIES: The responsibilities include:

  • Draft, review, and negotiate agreements with vendors ensuring that they are compliant with our internal policies and legal requirements

  • Manage InVision's freelancer onboarding agreements, coordinating with Resourcing and InVision's AB5 committee to ensure compliance with AB5 legislation

  • Review and negotiate agreements with freelancers, coordinate with outside counsel to review and finalize redlines as required, and coordinate with Accounts Payable on necessary paperwork for vendors who have their own agreements

  • Review and redline Master Sales, Data Protection, and Entertainment Agreements to ensure they align with company policies, insurance limits, and legal standards

  • Negotiate terms and conditions with clients and partners

  • Partner with outside licensed Counsel on complex agreements as needed

  • Manage and track contract-related requests and tasks using Asana, ensuring that they are logged, monitored, and completed in a timely manner

  • Maintain an organized system of digital records to include Client, Data Protection and Entertainment agreements, Vendor Contracts, and Freelancer agreements

  • Manage the process of obtaining, reviewing, and maintaining insurance Certificates of Insurance (COI), liaise with insurance providers and internal stakeholders to ensure coverage is adequate and up to date

  • Responsible for Year End Certificate of Insurance (COI) renewals for clients, leasing agents & bank contacts

  • Support the management of music licensing agreements, ensuring compliance with copyright laws, and securing the necessary rights for corporate use, coordinate with Client Services and Experience Delivery Groups and work with outside counsel as needed

  • Develop concise and informative summaries of client contracts, regularly review these summaries with the Client Services and Experience Delivery Groups to ensure alignment on contract terms, deliverables, and expectations, and participate in client project kickoffs to review contracts and insurance coverage as needed

  • Maintain and make updates to InVision's Legal Playbook, and train new hires and conduct annual training for employees

Skills, Knowledge & Abilities

  • Exceptional organizational skills and attention to detail

  • Superior proficiency in Microsoft Office Suite and cross platforms

  • Clear ability to work collaboratively and successfully with all levels of management and employees

  • Ability to work well in a fast-paced agency, under pressure and consistently meet deadlines

  • Ability to manage multiple projects while remaining flexible and positive

  • Outstanding verbal and written communication skills

  • Experience with Asana or similar project management tools

HOURS: The normal office hours are 8:30 a.m. to 5:30 p.m., Monday through Friday (40 hours per week). However, due to the nature and scope of this position, days and hours may fluctuate.

PHYSICAL REQUIREMENTS: Ability to perform job duties that may include an average amount of lifting (+ or - 25lbs.), sitting, bending, stooping, and standing is required.

TRAVEL REQUIREMENTS: Minimal travel is associated with this position. Travel for InVision-related business is reimbursable at the amount allotted under state & federal guidelines.

EDUCATION/EXPERIENCE: Bachelor's degree in business administration, law, or a related field, with a minimum of three years of experience in a contract administration or related role.

SALARY: The expected total compensation for this role is from $75,000.00 to $100,000.00. Specific pricing for the role may vary within the above range based on factors including geographic location, candidate experience, and skills. Eligibility to participate in a discretionary annual incentive program is subject to the rules governing the program, which if any, depends on various factors, including, without limitation, individual and organizational performance. In addition, employees are eligible for benefits including paid time off, medical, dental and retirement.
