Position Overview

The Contracts Negotiations/ Paralegal Associate is responsible for assisting in the completion of bid documents and the development of direct/group purchasing organization off-template agreements for the US Hospital Products, Advanced Surgery, and US Renal Business Units

The Contracts Negotiations/ Paralegal Associate provides analytical and strategic support to the Sales Operations functions, and works collaboratively with various other functions including Sales, Marketing, and Corporate Legal teams.

Responsibilities

  • Draft, review, negotiate and finalize a variety of business contracts and correspondence. Prepare and assist in the processing of template agreements from initial drafting to finalization.

  • Partner with Senior Contact Negotiations Associate to negotiate contract terms; provide guidance and recommendation on contract terms to legal and business teams; work directly with external parties to identify alternative contract provisions to resolve differences between Baxter and external parties.

  • Provide legal support to assist other team members in the processing of direct and/or group purchasing organization off-template agreements from initial drafting to finalization.

  • Provide assistance with bids and agreement templates US Hospital Products and/or US Renal.

  • Provide support to our customers and stakeholders, while creating profitable and quality agreements for Baxter.

  • Ability to collaborate and work with individuals at all levels of the organization. Including Legal, Sales, and internal and external business associates.

  • Lead in process innovations to develop/identify procedural gaps, drive for improvements, efficiencies, achieve results and enhance customer relationships.

  • Communicate with Sales to understand customer needs and business opportunities.

  • Partner and provide operational support to Marketing in conjunction with the implementation of product launches and promotional pricing by creating agreement templates.

  • Responsible for contributions of standard operating procedures and the maintenance of those procedures.

Qualifications

  • Excellent verbal and written communication skills, interpersonal skills, and the ability to interact across all levels of the organization are critical.

  • Must be a self-starter and ability to work proficiently with limited supervision.

  • Candidate must have excellent organization skills, is focused on customer satisfaction and provides timely and accurate results.

  • Individual must be able to prioritize multiple tasks and manage time efficiently.

  • Attention to detail is essential.

  • Proficient with usage and capabilities of Excel, Word, PowerPoint, Access, Brio, JDE & BAMS.

  • Bachelor's degree is required; Paralegal experience is strongly preferred.

Management includes docketing, clearance, due diligence searching and providing support to trademark requests. In addition to all cited below, the position requires the Sr. Trademark Paralegal to work independently in the preparation of all necessary documentation for the filing of trademark applications in desired countries, and a good understanding of the various requirements throughout prosecution to issuance for all major countries in which Baxter generally submits its applications for trademark protection. Key Responsibilities * Maintain a docket for a large multinational portfolio of trademark registration and applications and execute any needed actions in advance of due dates/deadlines. * Maintain electronic files corresponding to that portion of Baxter's trademark portfolio being managed by the position. * Manage Outside Counsel and Foreign Associates and provide needed documentation in fulfilling Baxter's filing, prosecution and opposition instructions. * Execute trademark clearance search strategies formed after consultation with IP counsel.
