We are hiring a Contracts Manager who can be based in our Irvine, CA or Santa Clara, CA location.

This position will be responsible for coordinating, reviewing, negotiating and maintaining agreements used in the sale of L&M products and services. Provides assistance in the sales contract management process, as well as document management.

Closely collaborates with various departments, including legal, operations, finance and business units. Manages, reviews, coordinates responses and negotiates business terms for MKS' worldwide L&M sales and service contracts. Ensures contract terms and conditions are negotiated in the best interest of MKS to mitigate business risk and maximize financial objectives.

Performs as the contract management database super user for the L&M regional sales teams. Monitors and organizes contract close-out, extension or renewal, as appropriate. Manages contract process from end to end with internal business owners and stakeholders and external customers.

Reviews and gathers information from various internal departments and completes customer required representations and certifications. Reviews contractual performance of both parties to ensure compliance with terms to identify conflicts or changes requiring resolution at contract renewal.

Receives assignments in the form of objectives and determines how to use resources to meet schedules and goals. Provides guidance to subordinates within the latitude of established company policies. Recommends changes to policies and establishes procedures that affect immediate organization(s).
Works on issues of diverse scope where analysis of situation or data requires evaluation of a variety of factors, including an understanding of current business trends. Follows processes and operational policies in selecting methods and techniques for obtaining solutions. Acts as advisor to subordinates to meet schedules and/or resolve technical problems. Develops and administers schedules, performance requirements; may have budget responsibilities. Demonstrates good judgment in selecting methods and techniques for obtaining solutions. Networks with senior internal and external personnel in own area of expertise. Possesses strong verbal and written skills with the ability to convey complex information that others can readily follow.
Level of discretion: Erroneous decisions or failure to achieve results will add to costs and may impact the short-term goals of the organization.
Frequently interacts with sub-ordinate supervisors, customers, and/or functional peer group managers, normally involving matters between functional areas, other company divisions or units, or customers and the company. Often must lead a cooperative effort among members of a project team.
Manages, perhaps through subordinate supervisors, the coordination of the activities of a section or department with responsibility for results, including costs, methods and staffing. In some instances, this manager may be responsible for a functional area and not have any subordinate employees.
Bachelor of Science or Bachelor of Arts degree required. Master's degree in Business preferred. 5-7 years of related experience and 3 years in a contract management role. Proficient in the sales process.

Distinguishing Characteristics This advanced professional is the working supervisory level in the series. Incumbents supervise professional, support staff and consultants in addition to performing highly complex public works construction contract administration work. This class is responsible for a major functional area and must use substantial judgment and initiative in resolving problems and making recommendations, particularly regarding contract change orders and claims. This class works closely with contractors and VTA's Construction Operations staff. The Senior Construction Contracts Administrator is distinguished from the Contracts Manager in that the latter has overall responsibility for VTA contract administration activities. Classification Bargaining Unit: AFSCME Essential Job Functions Typical Tasks * Supervises and reviews day-to-day public works construction contract administration activities; * Plans, assigns, directs, and reviews the work of assigned staff; * Selects, supervises, trains, motivates, evaluates and disciplines staff; * Personally performs professional public works construction contract administration work of a highly complex nature; * Prepares or assists subordinates in the preparation of complex Invitations for Bid documents; * Performs bid and cost analysis; * Assists subordinates in the development of change order negotiation strategies; * Leads complex negotiations when needed; * Participates in bid protest resolution in accordance with policies and procedures; * Conducts or assists subordinates in conducting Pre-bid Conferences and Public Bid Openings before large groups; * Supervises the review, documentation and approval of claims and invoices submitted against contracts; * Interprets and applies public works construction contracting principles, applicable laws, regulations and policies and procedures; * Prepares or directs the preparation of various periodic and special reports; * Reviews and approves specifications, contracts, change orders, claims and stop notices; * Performs related duties as required. Minimum Qualifications Employment Standards Sufficient training, education and experience which demonstrates the ability to perform the above tasks and the possession of the following knowledge and abilities. Development of the required knowledge, skills and abilities is typically obtained through training and experience equivalent to graduation from an accredited college or university with a degree in Engineering or Construction Management, and four years of experience performing advanced level construction contract administration activities, particularly negotiation of change orders and construction claims, one year of which must have been in a lead, supervisory or management capacity. A four year business degree will be considered in lieu of an Engineering or Construction Management degree if the applicant has demonstrated sufficient experience in Construction Contract Administration to possess the required knowledge and abilities.
