Overview

This position is part time or full time for Paralegal or Attorney with strong background in Commercial Contracts and Construction. The Paralegal/Attorney is a valuable member of the Construction/Project Management and Sales teams and a critical role for maintaining the Company's reputation and mitigating risk. This position would also support other teams such as I.T. and Customer Services & Support.

The position focus is on the processing, analysis, and review of Contract Documents. Secondary aspects include claims & risk management and strong writing skills.

The Contracts Manager will serve as the liaison between our project managers, sales personnel and customers as the main facilitator for negotiations, project execution, record keeping, monitoring, change management, etc.

Responsibilities

General Duties and Responsibilities of the Contracts Manager:

  • Review and negotiate commercial contracts, project agreements and installation contracts, including identifying and communicating legal and operational risks inherent in those contracts, and drafting and negotiating the terms of those contracts.

  • Reviews all commercial contracts to determine if there is language in the contract that exposes SSI to undue risk. Manages potential risk by responding and negotiating with external parties.

  • Review and update existing contracts to assess requested modifications to standard language, negotiating potential modifications directly with customer.

  • Assist internal business clients with contract dispute and claim resolution, which requires interpreting contract provisions relevant to the disputes and preparing documents regarding claims.

  • Manages outside legal counsel's involvement in large dollar, complex projects.

  • Based on contract and project type, identify project issues critical to Construction/Project Management, Sales, and Accounting teams.

  • Provide Customer with general Company and project-specific information when requested.

  • Adhere to high ethical standards and applicable codes of conduct

  • Collect Certificates of Insurance and Lien Waivers from Subcontractors; review for compliance with Company requirements.

  • Monitor and maintain existing state and other licensing and State business registrations relating to Construction/Project Management.

  • Proactively manage the process of determining and obtaining additional licenses, permits and classifications necessary to support SSI's business plans.

Qualifications

The ideal candidate will have a strong legal background in commercial and construction law. The candidate will be very detail-oriented, able to prioritize and manage multiple tasks.

  • Paralegal or Attorney with experience and strong background in contracts and construction required; and business law, preferred

  • 5+ years' experience as a Paralegal or Attorney.

  • Attorney's license, Paralegal certification, Associate's or Bachelor's degree (for Attorney candidates, graduate of accredited law school) is highly preferred.

  • Experience working with and interpreting construction and/or engineering contract requirements.

  • Demonstrates excellent communication skills, both oral and written, particularly technical writing and professional correspondence

  • Ability to work with varying seniority levels, including executives, staff, managers and external partners/clients

  • Fluently speak, read, and write English; German language a plus

  • Notary Public a plus

  • Occasional travel required

This attorney will provide legal support on a wide range of bank regulations, with primary focus on state laws and regulations impacting U.S. Bank's products, services, and business operations, including residential mortgage lending and servicing, commercial lending, auto lending, credit cards and prepaid accounts, collections, payment systems, small business lending, broker-dealer, investment and insurance agency, among others. The successful candidate will lead LRG's participation in establishing an enterprise wide program to identify and document material legal obligations arising from state laws, rules, and regulations applicable to U.S. Bank and its affiliates, and incorporate those obligations to the firm's compliance framework. The attorney will work closely with compliance, risk and business line partners to understand the firm's products and services, as well as the underlying policies, procedures and other controls supporting the firm's compliance framework. The attorney will also work closely with the vendor on developing a top-tier technology solution to simplify the sourcing and management of material legal obligations. Candidates must have a J.D. from an accredited law school, strong academic credentials, and must be admitted to at least one state bar.
