Position Summary

Jenzabar is looking for a talented and mindful attorney to join its legal group to lead the Companys customer life-cycle contract function, as the Companys legal group based in Boston continues to grow. Such function starts with the pricing stage and continues throughout the life-cycle of a contract including contract generation, negotiation, processing, and tracking. This position will be responsible for leading a cross departmental team focused on customer contracts. This presents a great opportunity to work with our business folks, our customers, and other members of the legal group.

Primary
Duties & Responsibilities:

  • Drafting, reviewing, and negotiating various customer agreements, including, licensing, SaaS, professional services, support, service level, beta and other related agreements;
  • Updating and developing necessary forms;
  • Working with finance, sales, and services;
  • Oversee training within the legal group and the Company on customer contracts and related issues; and
  • Performing special projects, as assigned.

Qualifications:

  • Minimum of 4 years in a law firm or an inhouse environment;
  • Detail-oriented and able to develop and implement new or enhanced processes for increasing the efficiency of regular responsibilities;
  • Knowledgeable about technology and software development;
  • Excellent communication and interpersonal skills;
  • Superb drafting skills;
  • Proactive, self-motivated, and highly organized, with experience managing multiple projects and meeting deadlines;
  • Ability to work within a team-focused environment;
  • Experience with a contract management system;
  • Understanding of revenue recognition including the new revenue recognition standard (ASC 606);
  • Licensed to practice in MA; and
  • Experience within the higher education software industry is a plus.

This position reports to the Companys General Counsel.

The Contracts Counsel, PSG Commercial is responsible for providing legal advice and support in all aspects of commercial contracting across the PSG business (and specific support for such divisions or business units within PSG as may be assigned). What you will do: Responsibilities include directly drafting, reviewing and negotiating client development and manufacturing services contracts; supporting and advising the Contracts Management team in reviewing and negotiating contracts; advising on various other commercial agreements (e.g., Procurement, consulting arrangements, &c.); contributing to the development of contract templates and playbooks for use across the Group; working to resolve client relationship issues as may be assigned, and such other duties as assigned. The Contracts Counsel, PSG Commercial will work cross-functionally with Division and Group level Legal, Commercial, Sales, Business Management, Finance, Operations, Quality, and Contracts Management to negotiate and close contracts that meet company policies and legal requirements and achieve profitable growth for PSG. Ensure that the ease and effectiveness of the commercial contracting process is a market differentiator for PSG in customer experience and that vendor/supplier contracts strive to maximize cost savings, reduce risk, and ensure continuity of supply from critical vendors. Essential Duties and Responsibilities * Demonstrated ability and experience drafting/reviewing contractual documents. * Experience delivering on project commitments. * Experience leading negotiations and closing deals. * Experience of successful "cradle to grave" contracts legal advice, including advising on complex proposals, negotiating terms, and managing contract changes. * Demonstrated ability to achieve positive results through influence, negotiation and change management. * Understanding the legal consequence of contract terms and the likely result should contract result in litigation/arbitration. * Demonstrated commitment to accountability and trust. * Proven ability to develop collaborative and productive relationships both internally and within third party organizations. * Demonstrated success working within complex organizations. * Where applicable, familiarity with non-U.S laws and regulations for contracts performed outside the U.S. * Ability to manage time and competing priorities including handling several assignments concurrently. * Strong interpersonal and negotiation skills. * Excellent written and oral communications skills. * Strong attention to detail and sound administrative abilities. * Demonstrated proficiency with the latest MS Office products, including Outlook, Word, Excel, and related electronic tools for editing, documenting, tracking and communicating. Certificates and/ or Licenses (BMQ): Applicable legal licensure and bar membership.
