Contracts Attorney

Reports to C-Level Executive (i.e. CEO and President and/or CFO)

Essential Functions

  • Review, draft, revise, negotiate and finalize a variety of company agreements and other legal documents as required

  • Domestic and international (i.e. EMEA, APAC, etc.) client/customer contracts (i.e. corporate and franchisee, quick service restaurant and fast casual brands)

  • Joint venture contracts

  • Vendor contracts

  • Interpret laws, rulings and regulations and determine how they apply to the company, contracts and deal terms

  • Engage with C-suite and other functional heads, and provide expertise in the structuring of contracts, deal terms, etc.

  • Participate in due diligence activities (responding on 3rd party inquiries or evaluating new opportunities)

  • Provide strategic and tactical legal guidance and advice to company leadership, exercising advanced-to-expert levels of attention to detail, preemptively protecting the Company, its officers and directors, and its intellectual property and other assets

  • Provide legal support to all company departments, including marketing, human resources, IT, to ensure compliance with federal, state and local laws

  • Develop internal education resources to broadly and deeply foster and instill company-wide understanding and compliance as it relates to sales, marketing, and other contracts

  • Revise company contract templates and policies, as needed

  • Stay abreast of new business laws and regulations impacting Tillster's business operations, locally and internationally

  • Interact with federal and state regulatory agencies, as needed

  • Other duties as directed or required

  • Be a member in good standing with the California Bar

  • 7+ years' experience, heavy contracts drafting and finalization

  • Willing to work onsite predominantly; but with some work remote privileges

  • Domestic/international travel estimated up to 25% of time

Schaeffer Center for Health Policy and Economics is one of the nation's premier health policy research centers. Housed jointly in the School of Pharmacy and Price School of Public Policy at the University of Southern California (USC), its mission is to measurably improve value in health care through evidence-based policy solutions, research excellence, and private and public sector engagement. The Center achieves this mission through groundbreaking research and policy analysis in health economics, health services research, and pharmaceutical economics. The Schaeffer Center comprised approximately 100 faculty and staff who collaborate on a wide array of research and policy questions. The Center's External Affairs group supports a sophisticated dissemination strategy to ensure Schaeffer Center research informs health policy. Through an ongoing collaboration with the Brookings Institution, the Schaeffer Center has developed an effective channel to disseminate its policy research in Washington DC. Research staff (directors, administrators, specialists) together with media and communications experts all ensure that research projects are shepherded effectively. The Center also supports a large programming staff and a data core with access to national survey data and large claims databases from public and private sources. Position Description The Schaeffer Center has an immediate opening for a full-time Contracts and Grants Manager. This is a two year fixed-term (renewable) position. This position will report to the Director of Finance and Research Administration and is responsible for managing contracts and grants administrative operations within the Center, including development and implementation of policies and procedures, planning and personnel administration. Additionally, the manager will assist in managing the Center's unrestricted and restricted portfolio and work closely with the School of Pharmacy and Sol Price School of Public Policy Office of Research, faculty, deans, as well as Business Offices. Duties will include, but are not limited to: * Establish and manage the Center's Data Core Recharge Center * Develop and implement operational and administrative policies and procedures for pre- and post-award administration * Train support staff to effectively implement streamlined research administration * Oversee proposal preparation and submission to federal and non-federal sponsors, including developing complex collaborative and interdisciplinary budgets and ensuring compliance with sponsor regulations * Facilitate and assume a leadership role in resolution of issues raised by the University's Department of Contracts and Grants * Develop and communicate reports supporting project status. Create effective forecasting and decision aids. * Review and approve expenditures in accordance with sponsor and University guidelines. Oversee and ensure compliance. * Investigate and identify potential sponsor opportunities to support the Center's research strategy and mission * Serve as primary liaison and active partner between principal investigators, Office of Sponsored Research, research groups, and other departments * Serves as a resource on research administration and overall technical resource to principal investigators and other University staff * Supervise 1 - 2 Contracts and Grants staff Qualifications Minimum Qualifications: * Bachelor's degree and 5 years (10+ years preferred) of experience in Contract and Grant Administration, thorough knowledge of university financial systems, including experience in management of a Recharge Center; combined experience/education as substitute for minimum education * Strong computer skills using MS Office Suite—especially Excel and PowerPoint. Excellent communication skills both written and verbal, ability to prioritize, organize, analyze and work independently in a fast paced and demanding work environment.
