Roles / Specifications of Responsibilities

The Contract Specialist is a detail-oriented position with the opportunity to interact with customer purchasing personnel and TASI Automation Segment senior management. A wide degree of independent decision making, and self-direction are required.

The Contract Specialist is the primary point of contact with customers regarding commercial topics and works with all locations within the TASI Automation Segment.

The Contract Specialist is responsible for ensuring customer purchase orders accurately represent the systems offered for purchase by Automation Segment proposal. In addition, the Contract Specialist is responsible for ensuring that customers' terms & conditions and other documentation agree with those of the Automation Segment.

The Contract Specialist may also support other administrative activities and strategic initiatives within the Automation Segment, as directed by the Director of Finance. This position is based at ATC headquarters in Cookeville Tennessee and works on-site.


  • Review and execute Nondisclosure Agreements (NDA's), and Purchase Agreements.

  • Exchange commercial documents with customers, such as Tax-Exempt Certificates, Bank references, D&B's, Insurance Certifications, etc.

  • Review all customer purchase orders and other documentation to ensure agreement with Automation Segment proposals.

  • Review, verify, and obtain all necessary approvals in accordance with Delegation of Authority policy.

  • Document exceptions to Automation Segment standard terms and conditions

  • Work with Automation Segment management and the customer to find resolutions agreeable to both parties.

  • Negotiate directly with customer representatives on new contract terms.

  • Consult with corporate attorneys for guidance on ambiguous or unusual terms & conditions, and questions about the legal implications of other contract terms.

  • Support Automation Segment Strategic Initiatives and assist in communication with outside organizations, such as interaction with State and Local government authorities or educational institutions

External Qualifications / Educational Requirements


  • Bachelor's degree.

  • Preferred fields of study:

  • Business Administration

  • Economics

  • Finance

  • Accounting

  • Engineering Management

  • Contract Law

Required Experience

  • 4 or more years drafting and reviewing legal documents, contracts and / or terms of service agreements.

Required Skills

  • Proficiency with Microsoft Office and Adobe PDF applications.

  • Excellent written and verbal communication skills, with the ability to effectively present information and respond to questions from groups of managers, clients, customers in a clear and concise manner.

  • Strong organizational/administrative skills required.

  • Ability to prioritize and manage tight deadlines.

  • Knowledge of negotiation best practices, both in-person and in written form, that consider the Automation Segment and the outside party's best interests.

  • Ability to research and analyze contract terms to assess legal protection, risks, and limitations.

  • Ability to maintain composure under duress.

  • Negotiate with customer purchasing personnel to resolve conflicts and find compromises agreeable to both parties.

  • Ability to read, comprehend and interpret legal documents and contracts.
