Position Description:

The Contract Review Specialist reviews all new vendor contracts and maintains all existing vendor contracts. This position carries out and/or coordinates due diligence duties on all vendors.

This position is crucial in supporting key Third Party risk management requirements (i.e. monitoring, audit, contract owner training etc.) and may assist the General Counsel with additional duties such as document delivery/pickup, drafting of contract related correspondence or other administrative legal functions as needed.


Essential Job Duties and

Responsibilities:

Review all new vendor contracts (and renewing vendor contracts) to ensure they are in line with Ent's operational and legal risk profiles. Provides actionable recommendations to General Counsel.

Administration of the vendor management software, including maintenance of the vendor management database. Ensures documentation / procedures are completed. Performs the necessary follow up to achieve stated compliance levels.

Performs and/or coordinates vendor due diligence (establishing payment terms, lead time expectancy, Service Level Agreement options, Special Price sheets, Better Business Bureau reviews, etc.)

Minimum formal education required for this position:

Knowledge consistent with a Bachelor's Degree in English, Communications, Technical Writing, Business Law, or other similar experience.

Each year of relevant work experience may be exchanged for a year in a relevant degree program or vice versa. For example, a requirement of "Knowledge Consistent with a Bachelor's Degree in Accounting and 2+ years' of accounting experience" could be substituted for a High School Diploma and 6 years of relevant accounting work experience or a Master's Degree in Accounting and 0 years of work experience.

Minimum work experience:
1+ years' work experience evaluating vendor contracts, administering vendor due diligence, or other related work experience requiring contract analysis, review, and authorization.

Technical or specialized knowledge/skills:

  • Demonstrates strength analyzing new regulations and determining the possible impact on the organization as it relates to contracts.

  • Exceptional ability to analyze and create written documents (contracts primarily).

  • Excellent attention to detail and problem solving ability.

  • Ability to operate well with all levels of corporate professionals.

  • Able to adjust communication style to match the audience being addressed.

  • Able to explain complex legal concepts and terms in relatable ways to build understanding and acceptance of regulatory changes that may be required.

  • Demonstrates a strong orientation towards customer service.

  • Proficiency with the Microsoft Office suite of products, particularly Word, Power Point, and Excel.

  • None required.

Environmental, physical and psychological requirements:

  • Must be able to sit or stand for prolonged periods of time in a climate controlled environment. Must be able to use fingers, hands, wrists for repetitive tasks such as typing, using a mouse, handling paper, currency, or coin, and operating a telephone. Demands for visual and auditory acuity are typical of an office environment. Must be able to interact via email, telephone, or in person with diplomacy, tact, and courtesy with all members under varying circumstances. Must be able to lift up to 40 lbs. Must be able to stay calm and collected in high stress situations. Must maintain a strong moral and ethical character.
