SUMMARY OF DUTIES

Responsible for drafting and negotiating commercial agreements.

ESSENTIAL FUNCTIONS PERFORMED

• Drafts and negotiates commercial agreements, including without limitation, domestic and international sales and distribution agreements; manufacturing, purchasing and supply agreements; licensing and royalty agreements, and confidentiality agreements.

• Counsels with business leaders regarding legal issues associated with expanding medical device manufacturer.

• Works with international legal counsel to prepare international commercial agreements as necessary.

• Provides support to regulatory and medical affairs groups with respect to clinical trials and related matters.

• Assists Chief Legal Officer with corporate governance matters.

• Performs a variety of related tasks, as required.

SUMMARY OF MINIMUM QUALIFICATIONS

• Position requires a Juris Doctorate degree and member of the Utah State Bar.

• Must be able to work under strict time constraints and meet deadlines in a timely manner.

• Must have strong interpersonal skills and be able to accomplish organizational objectives effectively.

• Demonstrated computer skills preferably spreadsheets, word processing, database and other applicable software programs.
