Rakuten Rewards is seeking a talented Commercial Counsel to join our legal team in our San Mateo office. In this role, you will provide transactional support for various aspects of the Rakuten Rewards business, including marketing, procurement, and sales. You will play a critical role in moving strategic deals through to completion, as well as help build out processes and solutions for the legal department and its clients. We are looking for someone who is passionate about working within a fast-paced, collaborative environment, and ready to pitch in and help take our business to new heights.
What you'll do
Provide transactional support for various departments under Rakuten Rewards, including procurement, marketing, and sales teams.
Review, negotiate, and draft a broad range of legal agreements, including SaaS agreements, technology licenses, advertising insertion orders, advertising network terms, data processing agreements, agency agreements, service agreements, and partnership agreements.
Partner with sales and legal operations teams to streamline the deal making process and ensure compliance with legal, accounting, and company policies.
Provide advice and support on a variety of legal subject areas, including intellectual property, information security, and data privacy.
Distill legal principles and compliance requirements into practical business advice and solutions.
Collaborate with cross-functional teams to support risk mitigation procedures in response to pre-litigation disputes, incidents, audits, and other inquiries.
Support the continuous improvement of standard form agreements, legal processes, and documentation.
Participate in mergers, acquisitions, and other corporate transactions by performing legal due diligence, issue analyses, and contract summaries.
Other duties as assigned by the Associate General Counsel.
What you'll bring to the table
J.D. and barred in the state of California
5+ years of relevant experience (may be combined in-house/law firm experience, but at least 3 years of in-house experience at a technology company)
Strong communications skills, both written and verbal
Excellent business and legal judgement
Ability to work independently and collaborate with cross-functional teams
Highly organized and process oriented
Working knowledge of data privacy, IP, and accounting principles
Experience in tech marketing or ecommerce, a plus

Individual compensation will vary based on job-related factors, including the skills, qualifications, and experience of the successful candidate as well as business need and geographic location. The successful applicant for this role will be eligible for discretionary bonus, health, vision, dental insurance, 401k matching, PTO, Volunteer Time Off (VTO), and other employee benefits as the company implements.
