Job Description:

RigNet, Inc. is seeking an experienced attorney to serve as Chief Compliance Officer and Associate General Counsel responsible for RigNet's ethics and compliance program and corporate governance, securities, subsidiary management, labor and employment, commercial contracts and related matters. Reporting directly to the General Counsel, the Associate General Counsel must be a detail-oriented legal generalist with an ability to balance legal concerns to efficiently meet business objectives. As member of a small legal department, the Associate General Counsel must be a team player willing to function both independently and collaboratively, efficiently prioritizing competing business needs in a fast-paced environment.

DESCRIPTION OF PRIMARY DUTIES & RESPONSIBILITIES:

  • Demonstrate a commitment to ethics and integrity and the Company's Mission and Values, and serve as a brand ambassador in support of the Company's Compliance function.

  • Compliance. Design, implement and monitor RigNet's corporate compliance program, with particular emphasis on anti-bribery, export control, sanctioned companies and entities and antitrust matters.

  • Corporate Governance and SEC Reporting. Work closely with the General Counsel in managing corporate governance obligations including Board of Directors and Committee support, meeting management and preparation

  • Commercial Contracts. Draft and negotiate a variety of customer, supplier, real estate and partner agreements and act as a commercial advisor to the sales, purchasing and business development functions.

  • NASDAQ compliance including interim and annual reporting.

  • SEC reporting including drafting and support relating to current, periodic and annual reports on Forms 3, 4, 8-K, 10-Q, 10-K and DEF 14A.

  • Subsidiary management for multiple international entities; and related matters.

  • Work closely with the General Counsel and Finance & Accounting team on finance matters relating to existing and future debt facilities and equity issuances.

  • Work closely with the General Counsel on M&A activity including due diligence, schedule development, contract review and related matters.

  • Execute and manage special projects working collaboratively across business units to develop, implement and manage improvements to business processes to increase efficiency while balancing legal risks with business objectives.

  • Provide comprehensive, business-minded legal support to executive management.

QUALIFICATIONS:

Education, Knowledge, Competencies:

  • Juris Doctorate from an ABA-accredited law school required; . Admission to the State Bar of Texas required, and must have remained in good standing in any jurisdiction in which a license has been issued.

  • At least 3-5 years of experience as a licensed and practicing attorney, preferably including large law firm experience.

  • Extensive drafting and negotiating skills and experience, including a deep knowledge and understanding of corporate governance, securities law and regulatory matters relating to a global remote communications provider.

  • Strong communication and interpersonal skills with the ability to create effective working relationships cross-functionally, including interfacing confidently with internal and external stakeholders on legal and business matters.

  • A flexible, innovative and business-minded focus with a pragmatic approach to problem solving, an ability to adapt to changing requirements, schedules and priorities, and the skill to socialize ideas, make recommendations and gather team consensus, all while maintaining high levels of integrity and discretion

PHYSICAL REQUIREMENTS:

Working conditions are normal for an office environment. Work may require occasional overnight travel and weekend and/or evening work.
