Position Title: Business Manager - Mutual Funds, Fund Governance Solutions

Major Duties:

  • Assist sales in the sourcing and diligence of new advisers

  • Oversee onboarding of new advisers and the Fund Launch process

  • Oversee services provided by internal and external providers. Address day to day issues and manage relationships with key individuals.

  • Assist with the establishment of policies/procedures as it relates to the operations of the Trust including the ongoing maintenance.

  • Manage financial budgets and work through financial pro-forma analysis for new funds/advisers

  • Assist with training on product and serve as subject matter expert as it relates to product collateral and market facing material

Overall Competencies Required:

  • Understands all aspects of mutual fund Operations, Reporting, Regulation, Technology, Governance and Service providers (Custody, Regulatory Administration, Fund Accounting, Administration and Transfer Agency).

  • Provides the oversight of services provided by internal partners (OT and GFS) and external providers (Auditors, Credit Facilities, Fund Counsel, Printing, etc). Areas of expertise include: Regulatory, Tax, Audit, Financials, Systems, Treasury, Budgeting and Distribution arrangements.

  • Superior communication skills across complex subject matter (internally and externally) including significant interaction with senior management and the Independent Board of Trustees overseeing the Mutual Fund Complex.

  • Strong presentation skills including the ability to develop effective and clear message/action steps/approval. Frequently addresses issues regarding/related to the Mutual Fund Board, Committees and Fund Counsel and senior Northern Trust Partners.

  • Able to manage multiple priorities including ability to make quick assessment of financial, regulatory, accounting, compliance and risk issues and manage the appropriate decision/response.

  • Project management/special project skills are essential and frequent, often subject to tight deadlines and regulatory oversight/specification.

  • Successful candidate will bring a mix of financial acumen, regulatory framework/perspective/understanding, business judgment, leadership, business savvy and strong interpersonal and communication skills. Deep understanding of 40 Act regulation and requirements are essential.

Minimum Requirements:

  • Significant experience in Accounting, Controls, Mutual Fund Governance, 40 Act Regulation, Regulatory Administration and Risk Management.

  • Minimum of 15 years of progressive mutual fund and broad based financial services/investment advisory business experience.

  • Finance, Accounting or Risk Management certifications (CPA a plus)

  • Strong knowledge of Mutual Fund Reporting, Policies, Procedures, Valuation, Auditing, Financial Controls, Budgeting, Financial Management, Product Management/Project Management, Service Level Agreements and Key Performance Indicators.

VIEW JOBS 10/1/2020 12:00:00 AM 2020-12-30T00:00 Job Description: The Fund Governance Solutions Group combines Regulatory Administration and Compliance Support resources to support our client's regulatory needs. These groups are made up of experienced industry professionals, including attorneys, who are able to work with our client's internal teams to plan filings, provide support on non-routine matters including proxy campaigns and fund reorganizations, as well as distribution and intermediary support. With minimal oversight or direct supervision, the Senior Consultant position will be responsible for the documentation and preparation of complex regulatory filings and reports; the drafting and preparation of Board and committee materials; the participation in compliance functions; and the oversight of team activities related to Board and committee meeting support, disclosure, and new fund or product launches. Responsibilities: 1. Review and production of materials for client Board meetings, including regular, special and organizational meetings. 2. Attend client Board meetings and record meeting minutes; and discuss regulatory, compliance, and other matters. 3. Draft client Board memoranda for issues affecting client or fund complex. 4. Manage corporate governance matters for series trust clients 5. Prepare and maintain Board and regulatory calendars. 6. Support the preparation, review and editing of investment company regulatory filings. 7. Perform research on issues regarding the Investment Company Act of 1940 and other mutual fund regulations as needed. 8. Assist in client product development initiatives, including drafting and offering documents for new funds and drafting proxy and information statements. 9. Assist on SEC regulatory examinations as necessary. 10. Review the work performed by consultants and other professionals in the group. 11. Serve as resource internally for compliance and related SEC rules and developments. 12. Participate in new business opportunities, including the review and analysis of needs and the design of solutions. 13. Support Sales efforts. Knowledge/Skills: A College or University degree in Business Administration, Finance, Economics, Accounting, or related field and/or relevant proven work experience is required. A JD is preferred but not required. A minimum of 3-5 years of experience working for a mutual fund organization (adviser or otherwise), a mutual fund administrator or service provider, the investment management practice of a law firm, or with the SEC or other regulatory agency is required. Excellent oral and written communication skills are required Strong attention to detail Analytical and problem-solving skills are required. Ability to work independently and as part of a collaborative group is required Excellent organizational and project management skills are required. Knowledge of the Investment Company Act of 1940, as amended, is required. Must have working knowledge of security types and investment mandates Ability to establish good working relationships with clients, members of Boards of Trustees, Fund Counsels, chief compliance officers, auditors and financial printers Ability to work under pressure and prioritize competing tasks Must be highly flexible and adaptable to change Knowledge of mutual fund operations preferred.
