Purpose of JobWe are currently seeking talented Attorney for our San Antonio, TX facility.

Responsible for providing legal advice and counsel within the incumbent's area(s) of legal expertise in support of Company or Staff Agency throughout the enterprise. Ensures the company's activities are conducted in compliance with the applicable legal framework and USAA's Risk Appetite. Responsible for foreseeing, mitigating, and managing legal risks. Relies on experience and judgment to plan and accomplish goals. May work with outside counsel to complete assignments.

Job Requirements

  • Applies advanced knowledge to mitigate legal, regulatory, compliance and litigation risk to USAA businesses.

  • Engages and collaborates with other legal experts within the company and at times outside counsel.

  • May work with outside counsel or contract professionals to complete assignments.

  • Provides solution oriented legal advice and counsel to internal clients to support business objectives.

  • May assist more senior attorneys in providing advice and counsel on highly complex matters.

  • Responsible for analyzing the application of laws and regulations and preparing recommendations and/or documents to support the organization.

  • Applies advanced knowledge regarding relevant business, industry, and area of legal specialty.

  • Handles complex negotiations, drafting and document creation, and matter resolution.

  • Ensures escalation of matters presenting more significant risk to more senior attorneys.

  • May assist more senior attorneys with the preparation of defense positions for highly complex litigation.

  • Participates in and may lead cross function initiatives.

  • Serves as a resource to less experienced team members.

  • May provide research, factual information, counsel and guidance on legal questions or issues, in support of more senior attorneys.

  • Performs all other tasks as assigned.

Minimum Requirements

  • Juris Doctor degree from an accredited law school required.

  • 4 or more years legal experience.

  • Admitted to the practice law in one state or a territory of the USA

  • Active member and in good standing of the bar in at least one state or territory

  • Knowledge of Microsoft Office Tools and applicable software.

  • Qualifications may warrant placement in a different job level.*

  • Public company, regulated industry or financial services corporate secretary and corporate governance experience

  • Drafting, minutes, resolutions, agendas, bylaws, secretary's certificates or certificates of incumbency

  • Experience with board meetings, board committee meetings, or management committee meetings

  • Subsidiary corporate governance and legal entity management

  • Entity management systems and process

  • Corporate governance related policies, standards, procedures, or project management

Independently providing legal counsel to manage and proactively address legal and regulatory risk in the consumer lending areas of USAA Federal Savings Bank. Providing legal advice to the consumer lending origination and servicing initiatives, program expansion and state regulatory matters. Providing legal support for examinations, regulatory inquiries, issues management and remediation projects in the consumer lending area. Assisting on a project basis with supporting 1st and 2nd Line of Defense to implement consumer and fair lending laws and regulations. Job Requirements * Serves as chief counsel to one or more direct reports to and Executive Council member, and is responsible for managing the legal services provided to their organizations. * Advises Line of Business and Enterprise leaders on all aspects of their respective practice area as well as Enterprise initiatives, regulatory, management and board governance, financial and holding company matters (as appropriate). * Manages and professionally develops a team of lawyers and legal professionals Sets the agenda, builds high-performance teams and sells the vision. * Ensures training and coaching of employees, and provides the team with development opportunities. * As a member of the Practice Area Management team, engages in continuous planning to ensure effective and efficient processes and resources to support client needs, including building effective business cases to support resource needs and managing the hiring process. * Actively maintains an understanding of developments in the external industry, regulatory and litigation environments to ensure an outside-in view in support of the legal trusted advisor role. * As a member of the CLO leadership team, actively identifies and addresses the integration of other line of business and enterprise matters with those of the Chief Legal Office. * May serve as lead of teams supporting enterprise initiatives. Minimum Experience: * JD from an accredited law school * 10 or more years of progressive related experience developing strategies, managing major initiatives and delivering results within a complex matrix environment required. * 6 or more years of people leadership experience in building, managing and/or developing high performing team required. * Experience interacting with regulatory agencies, 1st and 2nd Line of Defense and Board level reporting functions * Experience collaborating with key resources and stakeholders, influencing decisions and managing work to achieve strategic goals required. * Executive-level business acumen in the areas of business operations, industry practices and emerging trends required.
