ESSENTIAL DUTIES & RESPONSIBILITIES:
Support contracts management policies and procedures;
Negotiate, review and draft a wide variety of general corporate agreements (non-disclosures, vendor agreements, employment agreements, development agreements, licensing agreements. . .etc.) and transactional agreements;
Develop cross-functional working relationships to ensure legal team is aware of key issues affecting the business units;
Counsel business units on day-to day legal issues as they arise;
Provide timely legal advice in a user-friendly and decisive manner on legal, strategic, tactical and operational issues for the Strategic Sourcing organization;
Support product compliance and licensing efforts;
Monitor, review and resolve day-to day legal and regulatory issues as they are assigned
Conducting legal research on a variety of topics pertinent to vendor relationships, product acquisition, retail sales, services, and other businesses;
Providing general legal advice to internal business clients on a variety of topics pertinent to product acquisition, retail sales, antitrust law, consumer protection, services, and other businesses;
Coordinating with and prudently using outside counsel resources for expert opinions and legal needs; and
Traveling as needed on a limited and occasional basis.
SKILLS, KNOWLEDGE & PERSONAL CHARACTERISTICS
Minnesota licensed attorney with 8+ years of sourcing and procurement experience.
Manufacturing background preferred.
Strong negotiation and contracting skills
General corporate experience required and experience with distribution, licensing, contracting, advertising, and mergers and acquisitions preferred
Must be an assertive, self-starter with excellent verbal and written communication skills
Strong interpersonal skills and superior time management skills
Demonstrated ability to provide practical and strategic legal advice to management team.
