Job Description:

Support the bank's Global Procurement client base in the United States, with some support of global extensions of U.S.-based transactions

  • Provide daily advice and negotiation assistance on new contracts and advise on issues relating to existing contracts

  • Participate in negotiations and contract drafting as requested

  • Advise on contract interpretation and disputes

  • Manage outside counsel

  • Develop a network of internal support partners providing expertise in various subject matters

  • Manage and regularly update library of bank template contracts

  • Support divestitures, outsourcing, joint ventures and other corporate activity

  • Support policy and procedure development and review

  • Assist in the development of client training programs

  • Provide additional support on special projects as requested

  • Advise other bank lawyers and lines of business on matters of law, policy, procedure and contracting affecting vendor selection, contracting and management

Enterprise Description:

Provides general legal counsel on matters supporting the Bank's strategic and corporate support activities, as well as specific advice on products, services and certain legal actions. Reviews legal contracts and documents. Directly, or through staff, conducts legal research. May represent the bank in legal actions. Individuals in this position typically have a minimum of 10 of experience since admission to the Bar.

Required Skills:

  • 10 years as an Attorney

  • Licensed to practice law in at least one U.S. jurisdiction

  • Experience negotiating and drafting corporate purchasing contracts or general corporate contracts

  • JD or equivalent law degree
