The Senior Attorney will serve as an advisor trusted to provide not only legal advice, but also commercial input and judgment.

ESSENTIAL FUNCTIONS:

Key responsibilities for this role will include (but are not limited to):

  • Support assigned internal client groups and serve as the day-to-day legal lead for sales transactions, risk oversight, business development and other legal matters;

  • Draft and negotiate complex agreements related to the provision of NOV's Rig Technologies business segment's equipment and services, including equipment purchase and sale agreements, master services agreements, all tender documentation/bid proposals, license agreements, software agreements, NDAs, consulting agreements, purchase orders and vendor agreements, in addition to other legal documents and correspondences; Ensure compliance with relevant laws, regulations, and company policies;

  • Draft and negotiate agreements to support Rig Technologies' renewables initiatives, including with respect to the provision of equipment and services to the wind energy industry;

  • Advise and assist with negotiating and settling disputes and claims with counterparties;

  • Identify potential business, legal and regulatory risks and provide proactive advice and solutions to mitigate those risks;

  • Provide legal support to other matters and projects on an as-needed basis including overseeing litigation matters and supporting operations and corporate/shared services groups (e.g., HR, HSSE, Finance, Tax, Compliance, etc.); and

  • Work closely with the Assistant General Counsel - Rig Technologies and other segment business leaders to provide high-quality, commercial legal advice and documentation.

REQUIREMENTS:

  • J.D. from an accredited law school and admission into the Texas bar association or otherwise qualified to practice as an in-house lawyer in Texas;

  • At least eight (8) to ten (10) years of prior corporate in-house or law firm experience, including drafting and negotiating material agreements;

  • Strong written and verbal communication skills, strong organizational skills with high level of attention to detail and accuracy and strong interpersonal skills, including an ability to lead through collaboration.

  • Willingness to work on matters outside his or her base of prior experience and continue growing as an attorney and business advisor.

  • Ability to utilize Excel, Word, and PowerPoint for reporting/presentations.

  • Desire and ambition to "own" projects and become a trusted, go-to attorney for key Company employees; and

  • Prior oilfield services experience preferred but not required.
