We are looking for an experienced attorney to join our team in the role of Associate Counsel, Contracts (In House Attorney). This individual will manage a broad range of functions to support Claritys business. Candidates should have experience working in a corporate legal or contracts department (and/or law firm), be comfortable working in a fast-paced environment, collaborating with internal business teams, and interacting with vendors and customers. The ideal candidate should be solution-oriented, have strong contract negotiation skills and contract drafting experience along with the ability to provide practical advice and operate at a high level in an agile technology environment.

In this role, you will:

  • Develop, draft, review, approve legal terms and conditions, and negotiate wide variety of agreements: master service agreements, statements of work and other types of agreements
  • Analyze contract terms to ensure compliance with applicable federal, state, and local laws and regulations, industry best practices, and company policies
  • Support contract negotiations with account teams, clients and outside counsel where appropriate
  • Advise internal business line and administrative support teams on contract matters, including structuring, negotiation, interpretation, compliance and enforcement, risk assessment, legal and regulatory compliance, and consistency with business/operational requirements
  • Provide practical and strategic legal advice to business owners
  • Anticipate internal and external business challenges and provide creative problem-solving solutions to analyze legal and commercial risks while supporting corporate strategy and goals
  • Maintain a current working knowledge of new laws, case law trends with respect to contracts and regulatory developments
  • Provide general business and employment legal support

Requirements

Qualified candidates will possess the following:

  • Law degree with strong academic credentials from an ABA accredited institution and a license to practice law in California
  • 5+ years of relevant attorney background in contract law, specifically in drafting and negotiating contracts, either in-house or law firm
  • Experience with Employment Law and litigation is highly preferred
  • Good sense of judgment and practical business mind to balance competing legal and business considerations to advise on practical solutions and business-oriented results
  • Strong organizational and time management skills, ability to prioritize and handle multiple tasks
  • Strong work ethic, a sense of urgency and high level of responsiveness to competing deadlines
  • Candidates should be able to demonstrate strong legal research and written and verbal communication skills, as well as success at working independently and as a collaborative team member with business teams, technology teams, attorneys, and paralegals, in a fast-paced environment

Duration: Approximately 30 hours per week

The anticipated duration of this assignment is expected to be 6-12 months. Manages site (sub)contract operations to ensure the effective administration of (sub)contracts. Responsible for implementation of the Standard Work Process Procedures and automated (sub)contract management systems. Responsible for the training of personnel assigned to support (sub)contract administration. Job Responsibilities * Responsible for the development and implementation of a (Sub)contract Management Program for the project consistent with the Standard Work Process Procedures and the Subcontract/Contract Management Manual. * Analyze the (sub)contract general terms and conditions to highlight areas of risk such as ambiguities, conflicts or deviations from the scope of work.
