Driehaus Capital Management is a privately-held investment management firm that manages global, emerging markets, U.S. growth equity and alternative investment strategies. The firm has a diverse institutional client base comprised of corporate and public pensions, endowments, foundations, sub-advisory, family offices, wealth managers and financial advisors.
We are seeking an Attorney to join our Legal Department. This individual will be responsible for providing legal advice and managing legal projects on a wide range of strategic, regulatory and operational issues relating to public and private funds and separately managed accounts. Primary responsibilities include:
Identify and address compliance with legal and regulatory requirements affecting business operations, including U.S. and foreign securities laws and general corporate and partnership obligations.
Draft various business communications, including correspondence, resolutions, minutes and procedures related to all aspects of business activities, with a primary focus on client and vendor relationships.
Address numerous matters regarding Driehaus Mutual Funds, including preparing materials for and attending quarterly board meetings, leading the process for the annual update of registration statements and the preparation of registration statements for new mutual funds, reviewing board meeting minutes and negotiating intermediary agreements.
Handle legal issues related to derivatives trading, including the completion of account opening documentation, negotiating prime brokerage agreements and ISDA's, and preparing regulatory and industry filings related to derivatives trading.
Handle legal issues related to the product development process, such as fund structure and formation and drafting of offering documentation.
Serve on the firm's Soft Dollar Committee and address various matters regarding the firm's use of soft dollars.
Review and negotiate contracts, including service provider agreements, client agreements and non-disclosure agreements.
Stay informed on all regulatory and legal developments that may impact the firm.
Interface with outside counsel, as needed, with respect to matters described above.
Perform other duties as assigned by the General Counsel.
Juris Doctor Degree from an American Bar Association accredited law school with 5-10 years of experience practicing law in a law firm or in-house.
Member in good standing of the Illinois State Bar.
In-depth experience with the Investment Company Act and Investment Advisers Act is required.
Experience with the Commodity Exchange Act is preferred.
