The ZestFinance Legal Team supports the general legal needs of the business from the executive team and the board, to day-to-day operations across the organization. The Associate General Counsel will manage ZestFinance's entire transactional and commercial domain. This includes drafting and negotiating a wide variety of agreements, maintaining our forms, assisting with our terms of service, and maintaining strong relationships and processes with the internal stakeholders. You will also advise clients on the various legal risks, business strategies and other issues related to commercial transactions and general operations. We're looking for a diligent and strategic thinker who will be able to tackle drafting challenges while keeping in mind the objectives of the greater business.

In this role you will:

  • Draft, negotiate, and review a multitude of different types of agreements (including sales, software license, non-disclosure, and vendor agreements)

  • Provide practical and strategic legal advice on a wide variety of legal matters

  • Work with teams across the company to negotiate contracts of all sizes

  • Provide legal support to the ZestFinance Sales and Marketing teams concerning contractual obligations, intellectual property rights, and privacy rules and regulations

  • Provide ongoing legal training to the ZestFinance Sales team on contractual, privacy, and compliance issues

  • Partner with Sales and other internal stakeholders throughout the customer lifecycle to ensure customer success and protection of ZestFinance

  • Collaborate with many teams across the company to help achieve company-wide goals

  • Department in solving complex legal issues and advising on other general corporate matters as may be necessary

We are looking for:

  • Law degree from a top tier program

  • Currently eligible to practice in California

  • 7-10+ years experience at a law firm and/or corporate law department, with law firm, practice group, or in-house management experience

  • Experience working in a high tech industry preferred

  • Ability to organize, prioritize, and manage multiple projects effectively in a dynamic, fast-paced environment

  • Superior written and verbal communication skills

  • Ability to build and maintain strong relationships

Position Summary In this challenging and dynamic role, you will have the opportunity to demonstrate your legal expertise by being responsible for legal aspects pertaining to the Institutional Markets business of AIG Life and Retirement. This position is primarily dedicated to providing general contract and insurance regulatory legal support for AIG Life and Retirement's Institutional Markets business. This business involves negotiation of complex documentation involving various institutional products including pension risk transfer, stable value wrap, reinsurance and private placements. Areas of responsibility will include support of product development and investments/capital markets matters. This will include drafting and negotiation of all relevant contracts and documentation as well as filings with applicable regulators. The position will also require general contract review, contract and insurance policy drafting and negotiation in relation to ordinary course transactions and business initiatives, drafting of policies and procedures in relation to corporate and business unit initiatives, support of legislative tracking and related matters, and special projects. Tax and ERISA knowledge is a plus. Organizational Structure This position will report to the Deputy General Counsel, responsible for legal affairs related to the Institutional Markets business of AIG Life and Retirement. Performance Objectives * General transactional experience is necessary, whether at a law firm or in-house. * Responsible for all aspects of legal and regulatory matters relating to the Institutional Markets business. * Frequent interaction with the senior officers of AIG Life and Retirement. * Provide legal advice with respect to product development, transactional, insurance regulatory, contract negotiation, operational and compliance matters. * Negotiation of agreements. * Communication with regulatory authorities, as necessary * Participate in functional projects as well as cross-functional projects within AIG Life and Retirement. * Travel will be necessary from time to time. The ideal candidate should have: * Major law firm or in-house experience supporting transactional work * Intellectual curiosity and a strong desire for knowledge and growth * Experience with drafting, mark-ups and negotiation of agreements * Demonstrated ability to work in a fast paced environment and to find creative solutions on diverse matters requiring complex legal and strategic analysis. * Excellent written and oral communications skills. * Strong organizational, time management and project management skills. * Must be capable of working independently and/or as part of a team. * Knowledgeable about regulatory and risk management functions * Strong reasoning ability and capacity to understand inner workings of departments at AIG Life and Retirement * Good judgment and ability to provide timely legal advice. * Ability to identify and develop solutions to legal and business risks. * JD required. * Admittance to at least one state bar.
