In this role, you'll be advising and supporting the Fool's business operations and initiatives across new financial products and international markets. You'll be surrounded by Fools who move quickly, think brilliantly (we hope), and constantly look to disrupt the status quo in ways that help investors. And we need someone like you to make sure we color beautifully AND between the lines. Primary Responsibilities/Objectives:

  • Provide advice and legal support for corporate transactions and financing.

  • Support the company's global expansion efforts including working with local counsel on formation of businesses, and regulatory and licensing matters.

  • Negotiate, draft, and review a broad spectrum of corporate and commercial agreements. Lead the charge on getting things up and running.

  • Monitor and advise on new laws and regulations that may affect the Fool's operations.

  • Navigate and collaborate with cross-functional teams throughout the company on new and existing initiatives. Make sure all the right people are in the room.

  • Develop and improve contract templates.

  • Be the quintessential team player on group projects and compliance oversight.

Core Competencies:

  • Specific knowledge and demonstrated practical experience in one or more of the following areas: corporate, commercial, and securities law.

  • Ability to reconcile business needs with regulatory and legal requirements.

  • Ability to communicate legal concepts to non-lawyers.

  • Ability to work both independently and collaboratively.

Desired Characteristics:

  • Integrity. Lots of it.

  • Genuine interest in business, technology, investing, and/or the law.

  • Intellectual curiosity and flexibility. Boundaries are important, but can we push them a little?

  • Experience with international transactions.

  • Ability to understand and embrace The Motley Fool's philosophy, culture, values and goals.

  • Organizational prowess to prioritize and juggle multiple time-sensitive matters simultaneously.

  • Uncanny ability to see the big picture and the know-how to navigate the speed bumps.

  • A sense of humor is a must. It doesn't even have to be a good one.

Education and Experience:

  • J.D.

  • Virginia bar membership or eligible for Virginia bar Corporate Counsel Limited Admission.

  • 7+ years of experience in a law firm or at a company

(NERI) also referred to collectively as (Company). The attorney will be expected to work as a strategic business partner and decision maker with the more senior leaders and a wide-range of business clients within HealthCore and NERI and develop expertise to ensure Company is in compliance with various laws and regulations to maintain a solid legal foundation upon which to conduct business. The attorney will be required to apply knowledge of one or more legal specialties with sound business acumen and knowledge of the business goals and objectives as they relate to the legal matter at hand; determine methods and procedures on new assignments; contribute to overall results of a business unit and/or department; provide concise, timely briefings to senior level business and legal management; routinely work on complex problems in which analysis of situations and/or facts require an in-depth evaluation of various factors and to assess and mitigate risks. Primary duties may include, but are not limited to: assisting business clients on responses to requests for proposals, drafting and negotiating customer contracts, providing input to Anthem Procurement/Procurement Legal on HealthCore vendor contracts, assisting in the formation of strategic joint ventures or business ventures, and assisting in the development of new product offerings. The ability to manage data rights, as well as regulatory privacy and security requirements will be required along with familiarity with FDA, HIPAA, and other regulatory compliance requirements related to research and clinical trials. Advising on Intellectual property, ERISA and fraud/anti-kickback related matters is a plus. This attorney will be responsible for communicating with business staff and other legal contributors throughout Anthem with a team-minded attitude to promote consistency of approach and advice. The attorney is expected to work independently and confer and report to management any new problems or those with higher risk or exposure as well as the mitigation techniques being utilized. Excellent interpersonal communication and written skills are required to share information or negotiate with management and those outside the company. * Requires JD degree with license to practice law in one State's Bar (Delaware, Virginia, or Massachusetts Bar is preferred) * Generally a minimum of 9 years of specific industry and/or technical legal experience post licensure * Continuing legal and industry education, and CLE credits achieved * Residency in locations near Wilmington Delaware, Andover Massachusetts, Watertown, Massachusetts, or Alexandria, Virginia or the surrounding areas is preferred.
