In this role, you'll be advising and supporting the Fool's business operations and initiatives across new financial products and international markets. You'll be surrounded by Fools who move quickly, think brilliantly (we hope), and constantly look to disrupt the status quo in ways that help investors. And we need someone like you to make sure we color beautifully AND between the lines. Primary Responsibilities/Objectives:

  • Provide advice and legal support for corporate transactions and financing.

  • Support the company's global expansion efforts including working with local counsel on formation of businesses, and regulatory and licensing matters.

  • Negotiate, draft, and review a broad spectrum of corporate and commercial agreements. Lead the charge on getting things up and running.

  • Monitor and advise on new laws and regulations that may affect the Fool's operations.

  • Navigate and collaborate with cross-functional teams throughout the company on new and existing initiatives. Make sure all the right people are in the room.

  • Develop and improve contract templates.

  • Be the quintessential team player on group projects and compliance oversight.

  • Specific knowledge and demonstrated practical experience in one or more of the following areas: corporate, commercial, and securities law.

  • Ability to reconcile business needs with regulatory and legal requirements.

  • Ability to communicate legal concepts to non-lawyers.

  • Ability to work both independently and collaboratively.

  • Genuine interest in business, technology, investing, and/or the law.

Education and Experience:

  • J.D.

  • Virginia bar membership or eligible for Virginia bar Corporate Counsel Limited Admission.

  • 7+ years of experience in a law firm or at a company

Summary: IAP Corporate Counsel will be responsible for a variety of legal assignments including government contracts, subcontracts, software licensing, labor and employment, litigation, corporate governance, ethics and compliance, and international regulatory and transactional compliance. Essential Job Functions: * Provide advice and guidance to corporate, business unit, and project management on a variety of legal matters, including contract and subcontract interpretation and negotiation, regulatory compliance, dispute resolution, internal investigations, labor and employment laws, international transactions, and corporate governance. * Serve as a subject matter expert on all matters related to federal government contracts, to include providing advice on FAR, DFARS and agency level supplemental regulations. * Partner with other departments to ensure compliance with regulatory requirements applicable to government contracts (e.g. FCPA, FCA, TINA, and PIA), and support the investigation and remediation of related concerns as needed. * Draft and/or review correspondence, internal memoranda, and other documentation, and conduct legal research as required, in support of all internal customers. * Directly support business development activities, including the review and negotiation of strategic alliance agreements, teaming agreements, joint ventures, and other business relationships, both domestic and international. * Support the management of all aspects of litigation, bid protests, arbitration and mediation, including oversight of outside counsel and negotiation and resolution of disputes Level of Supervision: None Education & Experience: J.D. degree and at least 4+ years of in-house, government, and/or law firm experience with a strong focus on government contracts. License & Certifications: Member in good standing of a Bar of any state, and eligible to be admitted as a member of Florida or Virginia under respective in-house registrations (Florida Authorized House Counsel; Virginia Corporate Counsel Registrant). * Knowledge & Skills: * Substantive knowledge of federal government contracts law, including the FAR, DFARS, and associated statutes and regulations. * Experience drafting, negotiating, interpreting, ensuring compliance with, and resolving disputes relating to contracts, subcontracts, and other agreements involving U.S. government contractors. * Intellectual curiosity, excellent written and verbal communications skills and ability to apply experience and reliable judgment to legal matters in a fast-paced business. * Solutions-oriented self-starter able to work closely with internal customers and handle multiple legal matters simultaneously, and who enjoys a dynamic environment with ever-changing legal and business support requirements * Knowledge and experience with some or all of the following is strongly preferred: * Bid protests and/or CDA claims * Conducting business internationally, including foreign business registrations, deployment of personnel overseas, and compliance with local laws * Conducting and/or overseeing internal investigations * Knowledge and experience with ITAR, EAR, OFAC, and other import/export requirements * Labor and employment law, particularly with respect to regulations applicable to government contractors * Cyber and information security requirements and legal considerations Travel: Ability to travel domestically and internationally – up to 25% * Security Clearance: Able to obtain/maintain Top Secret clearance IAP Worldwide Services Alexandria VA
