The Associate General Counsel - Securities/ SEC Reporting & Compliance serves as the expert on securities laws and regulations in handling a variety of corporate securities and governance matters across the Kohl's organization. This role assists in the preparation and review of Proxy Statements, Form 10-Ks, 10-Qs and 8-Ks, as well as Section 16 Reports, other SEC-related documents, filings, and disclosures. It will lead Kohl's subsidiary and affiliate entity management; Draft, review and interpret complex commercial agreements, including credit facilities, and provide support for mergers and acquisitions transactions and other legal projects, as needed; Works with appropriate legal and business partners, including C-Suite executives and Deputy General Counsel, to advise on corporate securities compliance, emerging securities and governance trends, and complex commercial agreements.

This role will be based at the corporate office in Milwaukee, WI. Relocation assistance will be provided.

ACCOUNTABILITIES

SERVES AS KOHL'S IN-HOUSE EXPERT ON SECURITIES LAWS

  • Identifies new and evolving securities regulations and best practices applicable to public companies and conceives corresponding strategies to drive compliance in a proactive and collaborative manner.

  • Supervises and manages outside counsel, if/as needed, in support of the corporate and securities compliance function in an operationally efficient and cost-effective manner.

PROVIDES STRATEGIC LEGAL ADVICE AND GUIDANCE

  • Assist in the preparation and/or review of Proxy Statements, quarterly and annual SEC filings, and other filings, such as Form 8-Ks and Forms 3, 4 and 5.

  • Partner with Public Relations, Investor Relations and others within Legal to review disclosures, including press releases and investor presentations.

  • Develops and maintains policies, processes, forms and training to minimize legal exposure and educate Company leadership on legal considerations, risks and ramifications, including with respect to the Fair Disclosure Regulation and Kohl's Insider Trading Policy (including preclearance process for covered individuals and 10b5-1 plan review).

  • Drafts, reviews and interprets complex commercial agreements, including credit facilities and corporate finance agreements, business development transactions, and other contracts.

  • Lead Kohl's subsidiary and affiliate entity management, including drafting and maintaining inter-company agreements and promissory notes.

FOSTERS BUSINESS PARTNER RELATIONSHIPS AND CHAMPIONS LEGAL AWARENESS

  • Maintains a solid knowledge of the Company's business strategies, operations and objectives

  • Anticipates, monitors and communicates evolving developments in securities laws and reporting obligations impacting Kohl's

  • Identifies and tracks key trends to uncover gaps, and conceive and drive compliant resolutions

  • Educates and advises Company leadership on legal implications relevant to its respective business area(s)

  • Develops training and other business resources to champion legal awareness and drive compliance

QUALIFICATIONS

REQUIRED

  • Juris Doctor degree from accredited law school

  • 8 -10 + years experience in private practice and/or corporate legal department

  • In-depth knowledge of securities regulations and experience with other corporate law matters, including drafting complex commercial contracts

  • Superior analytical ability, negotiation and writing skills

  • Exceptional verbal/interpersonal communication skills

  • Ability to clearly translate and communicate legal considerations which affect business opportunities/operations and provide strategic alternatives to advance company pursuits

  • Ability to lead, manage and prioritize projects

  • Professional, highly organized and detail-oriented

  • Highest level of discretion, sensitivity and integrity in handling confidential information

PREFERRED

  • Member of state bar or licensed by the state bar

  • Significant corporate law experience - either in-house or law firm

  • Previously managed outside counsel

  • Prior retail or merchandising experience

  • Experience with regulatory matters

  • Familiarity with privacy law
