Associate General Counsel

Your role as a member of the legal team will involve managing a team of commercial attorneys and negotiators, while working closely with business partners across the globe to provide practical and commercially focused legal advice and support and lead the development of legal processes and standards to effectively scale our commercial transactions as we continue to grow. Your role will require a high degree of self-sufficiency, organizational skills, pro activity and an ability to enjoy a quick-paced and busy but exciting - environment.

  • Work with our Sales and Marketing team to quickly implement customer agreements to help accelerate our growth.

  • Management of commercial legal team, providing day to day guidance on deals, ensuring escalations and approvals happen appropriately, and mentoring and developing team members.

  • Lead development and maintenance of scalable contract management systems, processes and standards.

  • Serve as an ambassador and thought leader for the commercial team (domestically and internationally).

  • Provide commercial contracting guidance and leadership for various agreements ranging from NDAs, strategic partnerships, product focused service provider arrangements, day-to-day operational and event agreements, promotional partnerships, software and service agreements as well as agency agreements and releases.

  • Provide legal and strategic business advice to help develop a comprehensive, long-term approach to our relationships with key customers, channel and OEM partners.

  • Evolve and refine templates and processes to increase efficiency and scalability of legal support.

  • Administration and resolution of legal issues and contract interpretation matters that arise in existing commercial relationships.

  • Stay up-to-date and keep the team advised on laws and regulations dealing with privacy, software subscriptions and ELAs to better support commercial transactions.

  • Research complex and nuanced legal issues; create, update and maintain actionable guidelines.


  • Creative, flexible and experienced commercial attorney with business orientated outlook.

  • 12-15 years of relevant experience.

  • Strong, proven ability to work cross functionally with business partners.

  • General experience with working in an international and multicultural working environment with geographically dispersed team members.

  • Ability to work in a fast-paced and pressurized environment and to act decisively.

  • Provide quick, concise, and practical legal advice consistent with business objectives.

  • Advise and where necessary problem-solve as pro-actively and commercially aggressively as possible.

  • A team player with excellent interpersonal skills.

  • In-house experience, preferably in the Enterprise Software (SaaS) market.

  • Excellent written and verbal communication skills.

  • JD with Bar Admission in the United States.

ESSENTIAL DUTIES AND RESPONSIBILITIES: * Provides legal advice, guidance and recommendations on executive compensation matters, including with respect to compensation program design and structure and the impact of design decisions. * Provides advice, counsel and recommendations to the human resources team and Compensation Committee concerning current compensation practices and assists with monitoring these practices in light of changing best practices. * Serves as trusted adviser and thought partner to the chair of the Compensation Committee and EVP, Human Resources on matters within the purview of the Compensation Committee. * Participates in outreach to key shareholders and proxy advisory services. * Advises on corporate governance matters relating to executive compensation. * Provides legal and tax advice and guidance relating to company-wide stock-based compensation programs (including ESPP, RSUs and performance stock unit awards). * Leads drafting of proxy statements (with focus on CD&A), and assists with other compensation-related SEC filings. * Provides legal advice and assistance on defined contribution plans and nonqualified plans (including 401(K), deferred compensation). Section 409A experience preferred. * Advises on ERISA and federal tax laws relating to employee benefit health and welfare plans and wellness initiatives (including COBRA, HIPAA, ACA). * Provides support to the tax, stock plans administration and payroll functions. * Advises on compensation and benefits matters relating to M&A transactions and structuring of integration. * Participates in retirement committee and employee benefits committee meetings. Additional Responsibilities: * Assists with securities filings (S-8 registration statements, Section 16 filings and Forms 8-K, 10-K and 10-Q). * Assists with preparation of Board of Directors and committee meeting materials. * Advises on executive separations. * Develops strong working relationships and trust with key members of the board of directors, the executive management team and assigned functional groups and business units. * Travels to meet with clients in order to support the business and establish working relationships. * Works closely with non-attorney staff. * Works under general direction and keeps supervisor informed as projects proceed. * Recommends policy, process and/or practice changes with impact on one or more business units or functional groups. * Develops appropriate training materials and helps conduct training sessions for client groups on topics of interest. QUALIFICATIONS * J.D. degree from accredited law school; top 50 law school strongly preferred. * Current member of the California Bar in good standing. * 10+ years' experience practicing with national law firm or with national law firm and as an in-house attorney. * Experience advising compensation committees and senior management on all aspects of executive compensation, including plan design and its impact on various internal and external stakeholders. * Significant experience with executive compensation and benefit matters, including familiarity with related tax issues. * Understanding of Section 16 rules and requirements. * Strong executive presence and the ability to work effectively with Western Digital leadership, Board members, partners from law firms and other senior-level executives. * Ability to effectively communicate legal and compliance issues verbally and in writing in a clear and understandable manner. * Makes effective and credible presentations to employees in company's business groups at all levels on legal issues facing such business groups. * Demonstrated ability to inspire trust and confidence through effective communication and interpersonal skills. * Demonstrated ability to be proactive, exercise independent judgment and manage multiple projects simultaneously. * Demonstrated ability to focus on critical priorities with little or no supervision. * Strong work ethic and ability to produce high quality work under deadline pressures.
