Due to our growth, we are seeking an experienced Director/Sr. Director, Associate General Counsel who will report to the General Counsel and will have wide ranging responsibility including supporting the company's pre-clinical, clinical, business development, and research and development teams. The attorney in this position will work cross-functionally, serving as an integral part of project teams to draft and negotiate a wide range of agreements and identify legal risks. The attorney will also assist in supporting other business activities, such as intellectual property management, SEC filings, business development activities, and corporate governance matters.
Provide high quality legal advice and serve as a trusted strategic partner to a variety of internal teams including pre-clinical, clinical, business development, and research and development
Assist in developing and advise on global IP strategy in line with the company's business goals including working with research and development teams and outside counsel to identify and protect new IP opportunities
Assist in managing the company's intellectual property portfolio with the assistance of outside counsel
Lead the negotiation and drafting of a wide range of agreements
Develop and present materials on relevant laws and legal/business issues
Assist with the company's SEC filings
Support M&A, securities offerings and financings
Education and Qualifications:
J.D. from an ABA-accredited law school and admission to at least one state bar
A combination of 5-7+ years large law firm and/or biotech/pharma company experience
Significant transactional experience in being primarily drafting and negotiating a wide range of agreements including licensing agreements, collaboration agreements, material transfer, clinical trial, and sponsored research agreements
Excellent judgment and ability to assess risks and benefits and convey them in a clear and concise manner
Collaborative team player with excellent interpersonal and written/verbal communication skills
Strong work ethic and ability to work independently with minimal supervision
Self-motivated, self-starter, and independent
Excellent productivity, organizational, and time management abilities
Agility and flexibility to handle multiple tasks in a fast-paced, dynamic biopharma/specialty pharma environment
Effectively handle all job office equipment and software (including telephone, computer, and MSWord, PowerPoint and Office software)
