Responsibilities
Contract Drafting and Negotiation: Prepare, draft, and negotiate complex SaaS contracts, services agreements, NDAs and other commercial agreements.
Legal Guidance: Provide analysis and legal advice on contractual matters for the Company.
Compliance and Risk Management: Ensure all contracts comply with internal policies, external regulations, and industry best practices. Evaluate potential risks and propose mitigation strategies.
Cross-Functional Collaboration: Work closely with various teams, including sales, finance, professional services and product development, to ensure contract terms meet company objectives and address stakeholders' concerns.
Data Privacy and Protection: Leverage a working knowledge of data privacy law to draft and negotiate terms that align with GDPR, CCPA, and other relevant data privacy regulations and standards, and address data privacy-related inquiries.
Legal Operations Improvement: Contribute to the development and refinement of legal processes and templates to improve efficiency and maintain high-quality legal support.
Other Duties: Perform other tasks and duties as necessary for an in-house lawyer.
Qualifications
Active member of the bar (preferably in New York or Florida).
At least eight years of relevant legal experience, with a minimum of two years focused on SaaS/software contracts (in-house experience preferred).
Demonstrated expertise in drafting, negotiating, and advising on a wide variety of commercial legal matters.
Strong understanding of data privacy laws and regulations.
Excellent analytical, negotiation, and communication skills.
Ability to work independently as well as part of a team in a fast-paced environment.
Strong time management, organizational skills and attention to detail. Ability to work efficiently in a fast-paced environment.
Proactive and business-oriented approach to resolving complex legal matters and business challenges.
Experience working with cross-functional teams and managing multiple projects simultaneously.
Must be able to work on-site in the New York or Miami office on a hybrid basis (three days per week).
