Associate General Counsel, U.S. Hospital Products
Baxter is seeking an experienced transactional attorney to serve as Associate General Counsel providing lead legal support to Baxter's U.S. Hospital Products (USHP) sales, marketing and commercial organization. USHP is Baxter's largest customer-facing business. The successful candidate for the Assistant General Counsel position will be located in Deerfield, Illinois and will report to the Deputy General Counsel, Americas, within Baxter's Legal Department.
The candidate will have responsibility for providing legal guidance and counseling to the General Manager of USHP and other members of the U.S. sales, marketing and commercial organization regarding a variety of customer contracts, transaction structures, and sales and marketing activities to help manage Baxter's liability exposure and ensure compliance with applicable laws, including the Anti-Kickback Statute, FDA regulations, and antitrust laws. The successful candidate will embrace the Legal Department's Professional Standards to be a valued business attorney and a strong, collaborative team player.
Essential Duties and Responsibilities:
Understands the strategic and tactical objectives of USHP and the associated legal implications of business plans and processes.
Able to develop long and short-term solutions for customer relationships and other matters facing USHP that take into account the current and future needs of Baxter's businesses.
Provides leadership through leveraging of business and industry information to enable USHP to identify and solve sales, marketing and other commercial issues facing Baxter's businesses.
Ability to anticipate risk and develop mitigation plans to address the same.
Ability to see multi-variables across functions and regions.
Takes leadership role among in-house counsel and other legal professionals, outside counsel and client personnel on USHP-related initiatives, projects or goals, including by escalating and reporting on such matters as needed to other members of the Legal Department and other functional areas within Baxter.
Coordinates with other legal department subject matter experts to develop and provide regular training and guidance on compliance with the Anti-Kickback Statute, applicable antitrust laws, and Baxter's ethics and compliance policies.
Provides training and guidance to other attorneys and support staff within the Legal Department in relation to USHP-related matters and specialized areas of knowledge.
Leads a team of paralegals and contract attorneys in supporting USHP contracting and projects.
Delegates, obtains resources or takes actions that move projects to closure while maximizing personnel and organization effectiveness.
Effectively and cost-efficiently manages and directs outside counsel as needed to support execution of USHP-related projects, transactions or matters.
Acts as a mentor for less experienced attorneys and non-attorney members of the Legal Department.
Substantial contributor to attracting, developing and retaining employees.
Substantial experience drafting and negotiating a variety of customer contracts with U.S. healthcare organizations, group purchasing organizations, wholesalers and distributors for medical devices, intravenous solutions, pharmaceuticals, and/or surgical products.
Substantial knowledge and understanding of key laws regulating the sale of medical devices, intravenous solutions, pharmaceuticals, and/or surgical products in the U.S., including the Anti-Kickback Statute, FDA regulations, and US antitrust laws.
Extensive knowledge and understanding of key terms and concepts in commercial contracting (e.g., payment terms, indemnities, warranties, etc.).
Proven experience with counseling customer-facing business clients and sales organizations.
Works effectively both in-person with leadership and remotely with sales representatives across the U.S.
Thrives in a fast-paced environment.
Proven ability to prioritize workload and meet deadlines in a busy environment with competing priorities.
Experience leading and developing formal or informal teams of legal professionals.
Experience in addressing complex legal issues in a highly-regulated industry, like medical devices or pharmaceuticals.
Consistently and broadly recognized achievement of the Legal Department's Professional Standards.
Fluency in English.
Education and/or Experience:
JD or international equivalent from a nationally or internationally recognized institution. Minimum of 12 years of demonstrated professional legal experience, including at least 10 years of experience in an in-house, corporate environment with a high level of complexity, or substantially equivalent direct counseling experience within a major law firm.
