KPMG Delivery Network ("KDN") is currently seeking an Associate Director, Legal Counsel to join our Legal team. This role will be fully dedicated to serving KDN, a legal entity separate and distinct from KPMG US.

Responsibilities:

  • Assist on multiple KDN priorities including realigning existing KPMG entities, forming new operating companies, augmenting KDN's capabilities through acquisitions that enhance our service offerings and other corporate and commercial matters which arise

  • Advise on day-to-day matters including contracts, corporate governance, technology, privacy and data security, regulatory compliance and other issues which arise

  • Support transactions, entity set-ups and integration of new entities into the KDN group

  • Manage KDN's compliance with all relevant laws and regulations in applicable jurisdictions and KPMG global policies

  • Help develop and implement governance and operational policies and procedures, retain and manage external legal counsel on a global basis

  • Work on KDN group and KPMG network initiatives

Qualifications:

  • Minimum seven years of experience advising businesses on corporate and commercial matters gained at a major law firm and/or large in-house department (transactional and non-transactional)

  • Juris Doctorate (JD) equivalent degree with an active license to practice law and a member in good standing in the State of New York jurisdiction where the individual is based

  • Substantial expertise in some of the following areas: corporate law and governance, contracts, privacy and data protection, technology and regulatory compliance

  • Excellent verbal and written communication skills, including ability to be clear and concise

  • Ability to provide strategic, thoughtful and pragmatic legal advice

  • Cross-border experience is preferable

Colorado Salary Statement:

The salary range displayed is specifically for those potential hires who will work or reside in the state of Colorado if selected for the role. Any offered salary is determined based on internal equity, internal salary ranges, market data/ranges, applicant's skills and prior relevant experience, certain degrees and certifications (e.g. JD/technology), for example.

Colorado Salary Range: Low: $128800 - High: $238400

The Privacy Counsel will report to the Chief Privacy Officer and will be a key member of the Global Privacy Office. This experienced privacy counsel will provide privacy legal and data protection expertise and guidance and provide leadership to various stakeholders and business teams to facilitate compliance with privacy regulatory requirements. The Privacy Counsel will lead the development, implementation and maintenance of policies and procedures; draft and negotiate appropriate privacy contract clauses including complex transactions; advise and counsel business teams on privacy requirements, including privacy by design requirements for digital products and programs; lead privacy regulations implementation; and monitor relevant external privacy and data protection laws and regulations. Primary Responsibilities: * Provide privacy expertise to support the efforts of the Chief Privacy Officer, the Global Privacy Team, and the Network of Privacy Stewards including providing expertise and knowledge of privacy laws around the world and support the Company's compliance with applicable global privacy laws. * Lead the development of template privacy and data protection language for contracts, revise as required the contract negotiation guidelines for business colleagues, and engage in negotiations of privacy and data protection provisions including in complex transactions. * Serve as subject matter expert (SME) for supplier privacy assessments and data protection impact assessments. Provide guidance on risk mitigation activities to business leaders, in consultation with other SMEs. * In cooperation with Global Privacy Office colleagues, manage the Company's privacy incident response program, including overseeing the investigation of privacy incidents and determining whether a privacy breach has occurred under applicable law(s), regulations or contractual requirements. If notification to impacted individuals or relevant data protection authorities is required, the Privacy Counsel will work with the Privacy Incident Response Team to develop appropriate communications and establish a process to facilitate timely notifications. * Participate in Global Privacy & Data Protection Board meetings including providing regular updates to the Board on key privacy issues at and between Board meetings, as necessary. Assess and execute upon recommendations and guidance of Board with respect to the Global Privacy Program. * Provide advice and counsel to appropriate teams, including Global Privacy Office, Legal Department, and/or Corporate Audit & Assurance Services with respect to government or regulatory investigations or inquiries about the handling or protection of personal data. * Lead and supervise privacy activities and manage outside counsel as needed to support privacy projects. * Advise on relevant global privacy regulations impacting organization including but not limited to Commercial, R&D and M&A activities. * Provide legal advice and guidance consistent with law, privacy standards/company policy; appropriately balance division/function/corporate business objectives and privacy risks. Education Minimum Requirements: * Bachelor's degree from an accredited institution. * Graduate of an ABA accredited law school, with admission to the Bar of New Jersey, Pennsylvania, or another state. Required Experience and Skills: * At least 8 years of significant relevant privacy legal or privacy compliance. * In-depth knowledge of global privacy regulations and global privacy principles and standards. * Providing direct legal or compliance support and business solutions for privacy, security, data protection or equivalent functions in a large, regulated, and matrixed organization. * Incorporating privacy by design and privacy regulatory requirements into business processes and programs including digital health and technology. * Strong interpersonal, verbal, and written communication, collaboration, and leadership skills. * Strong ability to influence across functional groups and business franchises to gain cooperation and alignment on operational issues and objectives. * Demonstrated ethical mindset and integrity; ability to exercise sound judgment, and to demonstrate courage and candor.
