Associate Counsel- Real Estate


This position is primarily responsible for growing the company's commercial real estate practice in conjunction with the Senior Real Estate Attorney, Vice President of Real Estate, SVP of Legal and Chief Strategy Officer.

Roles and Responsibilities

  • Negotiate and draft commercial leases and purchase and sale agreements

  • Represent the company in all aspects of commercial real estate acquisition process from diligence through closing; title review.

  • Evaluate legal and business risks association with the adoption of real estate, environmental, and financing strategies

  • Draft and negotiate loan documents for project finance, commercial leases, and construction contracts for project development

  • Provide support to the project development team to secure necessary governmental and other stakeholder approvals for new projects

  • Assist compliance team with zoning and land use issues as needed

  • Manage landlord relations and be primary point of contact between landlord and facilities team

  • Represent the company as borrower in financing transactions

Required Qualifications

  • JD and CA bar

  • 3+ years commercial real estate experience in law firm setting (or applicable in-house setting) drafting and negotiating commercial leases and purchase agreements, closing purchases and structuring financing transactions.

  • Must be able to excel in extremely fast paced atmosphere


  • Medium/big firm experience

  • Familiarity with cannabis industry

  • Network of real estate professionals

  • Land use/entitlement experience

The Senior Associate Editor will: * Work with Senior Legal Editors to research, draft, edit, and update state-specific real estate resources for the Real Estate Service, with an emphasis on (but not limited to) California specific content. The resources include practice notes, checklists, standard documents, standard clauses, legal updates, other state-specific legal content in accordance with Practical Law writing style. * Carry out search trawls of numerous websites and other sources using the software application Website Watcher for current developments and potential topics for legal updates and other state specific resources for the Real Estate Service. * Develop ideas for new state real estate content with an emphasis on (but not limited to) California resources, which are to be published on Practical Law. * Liaise with external authors regarding original contributions and updates of Practical Law resources. * Maintain and manage internal progress charts, databases, and folders. * Provide additional research and editorial support to other Senior State Legal Editors in other states. * Stay informed of current developments and issues in California state practice to ensure timely updates of existing content and development of new content. * Establish and maintain relationships with external law firm contributors providing real estate resources. Qualifications: Candidates should have at least the following skills and experience: * J.D. required. * Minimum of five (5) years' experience working as a real estate attorney in a law firm or as in-house counsel and general expertise in California state real estate practice. * Actively licensed to practice in California. * Strong academic credentials. * Significant and broad experience in a variety of real estate matters for commercial and residential transactions, including one or more of the following: * complex commercial transactions; * purchasing and selling of commercial and residential real estate; * commercial leasing, including office, retail, and residential leasing; * real estate finance, including permanent, construction, and revolving credit loans; * real estate joint venture transactions; * residential real estate transactions, including the acquisition, sale, leasing, and financing of single family, multi-family, and condominiums; and * construction and real estate development. * Enthusiasm and ambition, with a desire to improve the efficiency of legal services. * A passion for writing and good editing skills, including: * very close attention to detail; * impressive command of grammar, punctuation, and plain English; and * the ability to write about complex legal issues clearly and simply. * Recent experience using Thomson Reuters Westlaw for legal research. * Self-motivated with excellent management and organizational skills to effectively track productivity and ensure product development milestones are met. * Ability to constantly collaborate with and support team members.
