About the role:

• This role is a New York City based HYBRID position. Candidates must be located in NYC, and willing to come into the office on a hybrid basis.*

The Associate Counsel will support the entire Fubo Legal team in contract, corporate, transactional and/or litigation matters across a variety of disciplines including but not limited to: Corporate, Compliance, Labor & Employment, Data Protection & Privacy, Regulatory & Government Affairs, Content Distribution, Licensing, Business Development and Fubo Sports Networks (Production).

This will be a generalist role with initial focus on the responsibilities set forth below under the supervision of the Assistant General Counsel, Corporate but also work directly with Assistant General Counsel, Regulatory and Government Affairs on a variety of projects. As well, as business needs require, this person will also work directly with Fubo's VP, Legal and Business Affairs and the Chief Legal Officer.

Responsibilities:

• Structure, draft, review, analyze and negotiate complex contracts and agreements, both corporate and commercial

• Support Fubo Corporate Counsel, Legal & Regulatory Affairs and Legal & Business Affairs teams in litigation, regulatory, corporate governance, compliance and transactional matters, including assisting in the review, drafting and tracking of agreements

• Assist in overseeing, drafting and reviewing Fubo's SEC filings (i.e. 10-Ks, 10-Qs, 8-Ks) under the '34 Act, Registration Statements and prospectuses (i.e. S-3, S-8) under the '33 Act, and Section 16 reporting, to ensure compliance with federal securities laws requirements

• Ensure compliance with public company securities and governance requirements, and support the necessary controls, processes and procedures (i.e. Sarbanes Oxley compliance)

• Support Fubo's annual shareholder meeting, including preparation of Proxy Statement and shareholder engagement

• Support the preparation, drafting, and review of corporate governance documentation, including Board (and Committees thereof) agendas, materials, minutes, resolutions, and policies

• Provide support to Legal and Finance departments, including capital markets and securities/debt transactions

• Assist in the formation, dissolutions, various corporate filings and maintenance of records for Fubo, including subsidiary management and international compliance

• Respond to inquiries from state attorneys general offices and regulatory agencies

• Support Fubo's anti-piracy and brand protection programs

• Provide legal guidance to Fubo's Customer Care team for privacy, accessibility, and litigation matters

• Conduct a variety of legal research across corporate law, intellectual property, data privacy, contracts, labor and employment to support Fubo's positioning on legal matters

• Partner with business stakeholders across Fubo to drive results that align with business objectives while minimizing risks, legal disputes and inquiries

• Assist with managing complex litigation matters and government investigations; overseeing outside counsel, developing overall strategy, ensuring compliance with document discovery obligations; managing interactions with government authorities

• Keep the legal team apprised of latest external governance trends, regulatory issues, and best practices

Qualifications:

• J.D. degree from an accredited law school in the United States required

• Licensed to practice law and ability to register in New York as in-house counsel is required

• 2 - 4 years of legal experience strongly preferred

• Experience in negotiating and drafting contracts

• Proven ability to multitask and prioritize workload while supporting multiple General Counsel and Legal & Business Affairs team members

• Strong business acumen, problem solving skills and legal judgment

• Collaboration with others and/or working well independently is a must

• Ability to influence internal and external stakeholders without authority and strike a practical balance between risk and business needs

• NYC preferred location

Fubo's minimum base salary for this role if hired in New York City is $135,000 per year; maximum base salary for this role is $165,000 per year. Additionally, this role is eligible to participate in Fubo's annual cash bonus plans, unlimited PTO, and a full range of medical benefits. Final offer amount will be at the company's sole discretion and determined by multiple factors, including years and depth of experience and expertise, location and other business considerations.
