Aegion Corporate is seeking an Associate Counsel in our Chesterfield, MO corporate office. The position is responsible for supporting the global legal needs of multiple business units within Aegion Corporation's Infrastructure Solutions Platform (ISP), including dispute management, problem solving and counseling on a wide variety of matters. The Associate Counsel also adheres to best practices for mitigating risk to Aegion and ensures that its rights and obligations are fulfilled.
Aegion Corporation and its family of companies shield and protect the world's infrastructure from degradation and corrosion with a variety of technologies. Aegion's businesses comprise sewer, drinking water and energy and mining pipeline rehabilitation and corrosion protection for and strengthening of bridges, tunnels, buildings, waterfront, metal and concrete structures. Our companies provide cost-effective solutions to remediate operational, health, regulatory and environmental problems resulting from aging and defective pipelines and infrastructure.
Prepares and reviews various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, etc.
Where appropriate to protect the Company, suggests alternative provisions in contracts or subcontracts. Negotiates with the other party to craft provisions that are acceptable to both the other party and the Company.
Examines case facts and law to determine advisability of defending or prosecuting lawsuits, bond claims or liens.
Oversees outside attorneys who defend or prosecute any lawsuits, claims, mediations or arbitrations involving the US operations of ISP for which the Associate Counsel has primary responsibility.
Oversees and manages the budget for outside attorneys and expert witnesses for all matters involving the US operations of ISP for which the Associate Counsel has primary responsibility.
Gathers evidence and information to support management (legal and business) decision making.
Advises both the Senior Executives and Project Managers of ISP on government regulations and/or legal rights.
Works closely with the business units and finance personnel to review aged account receivables and assists with the collection of amounts owed to Aegion.
Contributes to special projects across ISP, Aegion and Aegion's Legal Department.
Attends to miscellaneous legal questions and projects of the ISP business units on a daily basis (as required).
Other duties as required.
Juris Doctor degree and current admission to a state bar association at the time of employment, and admission to the Missouri bar within six (months) of employment.
Minimum of one (1) year of legal experience is required. New law school graduates may be considered if they have prior work experience in a professional environment.
Experience in the construction industry may be helpful, but is not required.
The ideal candidate will have a generalist background with both dispute resolution and transactional skills.
Must possess critical thinking skills, including: Ability to read, analyze, and interpret complex documents; Ability to respond effectively to highly sensitive inquiries or complaints; Ability to define problems, collect data, establish facts and draw valid conclusions;. Ability to interpret an extensive variety of legal concepts.
Ability to make effective and persuasive presentations on controversial or complex topics to senior management.
Ability to negotiate with a wide variety of individuals and companies.
Ability and experience to participate in complex construction mediations and/or arbitrations as the Company representative.
The successful candidate will have a commitment to managing a diverse workload in a fast-paced environment.
Ability to travel (Approximately 10%).
