The Role:

The role is an exciting opportunity to become a critical component of the legal and business operations of a leading high-growth company in the biotech industry. We need a pragmatic, business-minded professional with a deep understanding of the concepts customarily addressed in contracts for the life sciences industry to structure, draft, and negotiate the full gamut of commercial and technology-related contracts, including research agreements, technology licenses, manufacture and supply agreements and government contracts. The successful candidate will be responsible for managing and strengthening the company's contracting processes and supporting internal business partners by interpreting complex contractual terms, providing risk assessments and recommendations, and negotiating and closing agreements with third parties.

Here's What You'll Do:

  • Partner with internal business development, finance, research, manufacturing and other business teams to identify and understand their business requirements, and negotiate contracts in accordance with those requirements and the company's overall objectives, priorities and policies

  • Provide post-execution relationship support by interpreting contract language for internal clients, drafting amendments and working to help avoid/resolve potential issues

  • Become proficient with the company's integrated contract management system and work with other members of the legal group to continually improve the company's templates and internal contracting process

  • Work closely with members of finance and other departments to help ensure compliance with cross-functional policies and procedures

  • Integrate your contract assessment with our public company disclosure and review cycle; assess materiality; work with other members of the group to ensure timely and correct disclosure

  • Recognize high pressure, time sensitive situations and respond clearly and pragmatically with high quality and timeliness

Here's What You'll Bring to the Table:

  • J.D. from an accredited law school; admitted into practice and in good standing in at least one state

  • 6 - 10 years of experience drafting and negotiating a wide variety of contracts related to research, development, licensing, manufacturing and other business arrangements in the life sciences industry is required, ideally in both a law firm setting and as a member of a legal department in a pharmaceutical/biotech company

  • Strong drafting and communication skills, and an ability to maintain a high level of attention to detail without losing sight of the big picture

  • Commitment to client service, finding solutions, relationship building, continued learning, proactivity and confidentiality

  • General understanding of the concepts, terminology and interdependencies that are important in the research-based pharmaceutical industry, including with respect to intellectual property rights

  • Excellent interpersonal skills that are demonstrated by being articulate, direct and forthright, and serving as a collaborative and decisive team member and a strategic thinker with a broad perspective

  • Ability to manage and prioritize multiple matters simultaneously and to respond to rapidly shifting priorities in ambiguous or challenging situations

  • Demonstrated ability to own projects and consistently meet tight timing requirements and high quality standards

  • Strong verbal and written communication skills, including proven ability to interact and communicate effectively with individuals from multiple departments at all levels of the organization

  • Ability to handle confidential and proprietary information using impeccable discretion and judgment

  • Experience managing the intake, processing, digital execution and tracking of a large number of agreements using a contract management software system

Reporting to the Senior Corporate Counsel of Legal & Compliance, the Compliance and Privacy Specialist will be part of a team responsible for supporting the company-wide corporate, privacy and data security compliance programs. You will be key in the planning, development, and implementation of these compliance programs and privacy activities across all areas of Pega. In the role you will help to direct various global compliance initiatives and manage the implementation and adoption of updated processes across the organization. Pega's Corporate Compliance Program includes policies, education, training and establishing processes to smooth the way for an organizational culture of compliance. What You'll Do at Pega: * Oversee and monitor ongoing privacy and data protection compliance activities globally as part of the Privacy Working Group and cross-functionally with other departments * Develop and implement new, or update existing, compliance practices/policies to comply with personal data privacy and protection regulations, such as General Data Protection Regulation * Support the ongoing implementation, and enhancement of an effective data privacy and global ethics and compliance program * Support internal processes and documentation for privacy/data protection related inquiries, incidents, initiatives and activities * Work with internal teams on documenting and maintaining personal data mapping, data processing records and privacy impact assessments * Be a privacy expert to internal teams and guide teams in designing privacycompliant processes, and solutions. * Developing and delivering internal training about privacy and data protection * Assist with the response to suspected privacy incidents and breaches * Assess complex privacy inquiries and collaborate with cross-functional teams to respond concisely and provide high-quality support and timely solutions * Communicate company compliance standards and information updates on new laws and provide guidance to committee members and key business partners * Identify potential areas of risk and compliance vulnerability; develop/implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid and remediate similar situations in the future * Implement, deliver and oversee training and education programs for compliance issues for the organization, including, for example, new employee orientation, annual online training and department-specific training * Provide assistance to external and/or internal auditors in compliance reviews * Respond to questions and issues raised by clients, partners, and internal stakeholders around corporate compliance and privacy matters * Work closely with other Legal & Compliance colleagues, and with Human Resources, Cloud and Information Technology and other business colleagues to ensure employee adherence to our Code of Conduct and related rules, policies, and procedures * Manage day-to-day operation of the Compliance Program.
