Job Description

The Associate Corporate Counsel for the Chromatography and Mass Spectrometry Division (CMD) will assist business managers with negotiating and drafting commercial contracts (including terms and conditions of product sales and services, collaboration, distribution, license, development, consulting, government, sourcing and OEM agreements). He/She will also assist with all types of compliance matters and provide advice, as well as training, on range of matters, including intellectual property, government contracting, anti-corruption, marketing and promotions, dispute resolution, products liability and commercial antitrust. He/She will also periodically assist with legal matters or special projects with other divisions/ corporate.

Key Responsibilities:

  • Responsible for providing ongoing advice and support principally related to a wide variety of commercial contracts, including the drafting, review, and negotiation of contracts

  • Provide leadership and legal advice on a range of legal and compliance matters, including government contracts, antitrust, marketing and promotions, global trade compliance and anti-corruption.

  • Lead, anticipate, and drive solutions for a range of legal and business issues.

  • Provide advice regarding customer and other commercial/business disputes.

  • Review, develop, implement, communicate, enforce and monitor contract review compliance as well as other processes, policies and procedures.

  • Conduct legal research, as needed.

Minimum Requirements/ Qualifications:

  • Bachelor's degree and Juris Doctor from accredited university

  • 5+ years of direct experience with commercial contracts and business law background, including at least 3 years of relevant legal experience in a law firm or in-house legal department

  • Mix of law firm and in-house experience preferred

  • Member in good standing with the Massachusetts Bar

  • Experience managing global contract negotiations engaging directly with customers and suppliers.

  • Strong analytical ability

  • Experience developing and implementing legal solutions

  • Excellent verbal and written communication and problem-solving skills

  • Ability to maintain strict confidentiality of sensitive information

  • Ability to analyze and interpret complex legislation and regulations and counsel clients about corresponding compliance responsibilities

  • Team player capable of leading and participating within cross-functional project teams to meet key milestones under tight timelines and stressful conditions

  • Strong understanding of commercial and financial implications of strategy development process

  • Strong work ethic with the initiative to work independently

  • High level of integrity supported by sound judgement and ethics

What you get to do in this role: * Review and negotiate complex enterprise customer sales contracts that meet the company's requirements under its policies, including those for risk tolerance, while working collaboratively with the business team, including various executives. * Collaborate with finance, sales operations, deal desk, product operations, support, security and other business units at all levels throughout the organization to ensure that agreements adequately protect the company's interests. * Support the continuous improvement of standard forms of agreement and legal processes. * Be a trusted business partner providing timely, thoughtful and helpful responses to requests from internal customers. * Counsel internal customers regarding company policies, legal issues, and risk tolerance. * Mentor junior legal team members in negotiation technique, business judgment, and technical drafting. In order to be successful in this role, you are someone who has: * Undergraduate degree and law degree from highly-regarded schools * Active membership in at least one U.S. State bar * At least 7 years' relevant experience at a major law firm and in-house, including negotiating technology agreements * In-house commercial contracting experience dealing with SaaS or software licensing transactions and supporting a sales organization * Excellent negotiating and influencing skills, and a talent for non-confrontational, win-win negotiations * Exceptional critical thinking abilities, who possesses strong business acumen and excellent judgment; must be able to work independently, manage multiple priorities, and pivot between responsibilities in a fast-paced, high-growth environment * Excellent communication skills with ability to distill complex issues clearly and communicate well both one-on-one and in groups, and in internal and external contexts * Desire for close collaboration with sales and sales support to close deals efficiently, with a practical approach * Proficient drafting and legal technical skills, with keen attention to detail * Firm understanding of revenue recognition principals * Drive to manage projects, developing improvements and implementing shared plan for success across varied stakeholders We provide competitive compensation, generous benefits and a professional atmosphere.
