Job Description Summary

The Associate Corporate Counsel for the Chromatography and Mass Spectrometry Division (CMD) will assist businesses in negotiating and drafting commercial contracts (including terms and conditions of product sales and services, collaboration, distribution, license, development, consulting, government, sourcing and OEM agreements). He/She will also assist with all compliance matters and provide advice, as well as training, on range of matters, including commercial contracts, government contracts, anticorruption laws, marketing and promotions, dispute resolution, products liability and commercial antitrust. He/She will also periodically assist with legal matters or special projects with other divisions/ corporate.

Key Responsibilities:

  • Responsible for providing ongoing advice and support principally related to a wide variety of commercial contracts, including the drafting, review, and negotiation of contracts

  • Provide leadership and legal advice on a range of legal and compliance matters, including government contracts, antitrust, marketing and promotions, global trade compliance and anti-corruption.

  • Lead, anticipate, and drive solutions for a range of legal and business issues.

  • Provide advice regarding customer and other commercial/business disputes.

  • Review, develop, implement, communicate, enforce and monitor contract review compliance as well as other processes, policies and procedures.

  • Conduct legal research, as needed.

Minimum Requirements/ Qualifications:

  • Bachelor's degree and Juris Doctor from accredited university

  • 5+ years of direct experience with commercial contracts and business law background, including at least 3 years of relevant legal experience in a law firm or in-house legal department

  • Mix of law firm and in-house experience preferred

  • Member in good standing with the Massachusetts Bar

  • Experience managing global contract negotiations engaging directly with customers and suppliers

  • Experience developing and implementing legal solutions

  • Ability to maintain strict confidentiality of sensitive information

  • Ability to analyze and interpret complex legislation and regulations and counsel clients about corresponding compliance responsibilities

  • Ability to operate within a matrixed management environment

  • Team player capable of leading and participating within cross-functional project teams to meet key milestones under tight timelines and stressful conditions

  • Strong understanding of commercial and financial implications of strategy development process

  • Strong project and process management capabilities

  • Effective verbal and written communication and presentation styles to interact with diverse audiences, including outside attorneys, senior management and business associates

  • Strong work ethic with the initiative to work independently

  • High level of integrity supported by sound judgement and ethics

The position reports to the Associate General Counsel, and works directly with Rocket's business operations. Principal duties include structuring, drafting and negotiating commercial agreements, including direct sales and partner agreements, professional services, procurement and SaaS agreements, technology licenses, and confidentiality agreements. Duties also include: serving as lead counsel on strategic deals; support and counsel for growth and integration of acquired global businesses; resolving issues that arise in existing commercial relationships, handling pre-litigation disputes and inquiries; due diligence for M&A activity; and identifying and implementing legal process improvements. The Senior Corporate Counsel is expected to provide legal advice, support and training on a wide range of commercial and corporate compliance matters, such as intellectual property, data privacy, export control, and regulatory certification as applies to both Rocket's business and its internal functions such as information technology and human resources. The individual must be enthusiastic, enjoy working hard and being challenged, and demonstrate sound judgment, particularly in ambiguous situations. Responsibilities: * Developing a thorough understanding of Rocket's business, products, markets, customers and partners in order to identify trends and formulate effective compliance strategies. * Counseling the business team on legal issues and risks, business strategies, complex deal structures, approval processes, intellectual property and other issues related to technology transactions. * Counseling other members of the legal department in areas of expertise. * Independent management and resolution of assigned projects. * Leading critical, complex legal transactions and negotiation. * Developing, drafting, reviewing, editing and finalizing a wide range of complex, value added transactional legal documents with multiple elements of delivery, including: reseller/distribution agreements; master agreements; professional services agreements; OEM/ISV agreements; channel distribution programs; maintenance programs and agreements; consulting and advisory agreements; teaming, outsourcing, hosting, PaaS and SaaS agreements; and other technology agreements, while working collaboratively with the business team, including executives. * Analyzing contract terms & conditions, requirements and special provisions to ensure compliance with appropriate laws and corporate policies; providing advice to the management team, the negotiation team and other Counsel; advising product teams on appropriate commercial structure for new product offerings. * Managing and performing legal due diligence and supporting integration of acquisitions. * Preparing template software product sales and service agreements; cloud computing agreements; partner/supplier agreements; licenses; distribution and supply agreements for product offerings. * Best practices/plain English drafting. * Reviewing marketing/advertising materials. * Providing legal support and guidance for internal functions, including human resources, product development, compliance, risk management, product sales, services, procurement, operations and finance. Placing special emphasis and focus on cost efficient delivery of prompt, responsive and quality legal service, including effective management of outside counsel.
