The Associate Attorney will support the ICE Data Services business in general legal matters, with a special emphasis on (i) reviewing documentation including marketing materials and RFI's, and, (ii) reviewing, drafting and negotiating various types of agreements including customer agreements, source agreements, etc.
This is a hands on role where you will be responsible for executing on a variety of work including review and negotiation of data and software licenses, customer agreements and service agreements; working closely with the business and regulatory attorneys in connection applicable regulations as they relate to ICE Data Services; provide some legal support to marketing, finance, and product development departments.
Duties and Responsibilities
Responsible for reviewing, drafting and negotiating various agreements (e.g. Customer agreements, source agreements, consultant agreements, NDAs).
Assist in the preparation of external requests for information, including customer inquiries and requests for proposals.
Responsible for reviewing marketing materials and press releases.
To ensure that advice provided is consistent with the relevant regulatory requirements and ICE policies.
Liaising with ICE business areas and providing advice and assistance as requirements might arise.
Collaborate closely with business, sales and product teams in the context of commercial negotiations.
To be an enthusiastic and professional member of the legal department.
Identify risk implications of business strategies and plans.
Each facet of the role will require confidence in legal skills such as handling and negotiating contracts, document management, drafting, regulatory interpretation, relationship management and other presentations.
Knowledge and Experience
JD with 0-2 years of experience as a commercial/contracts attorney.
Law degree with admission to New York State bar
Some experience in the commercial licensing transactions at a leading financial services or financial data/technology company is a plus but not required.
Some experience of working with or within regulated environments is a plus but not required.
Must be able to work effectively in frequently changing working environments/organizations
Ability to manage multiple projects and clients and work in a fast-paced environment
Desire and ability to learn business requirements quickly, analyze legal and business risks and propose creative, business-oriented solutions.
A skilled and experienced people manager capable of building and managing a strong team
