Job Description

The Associate General Counsel is responsible for providing a high level of professional legal service by representing and advising the Arizona Board of Regents and Arizona State University on a broad range of education law and other legal matters and supporting training and preventive law programs on a university-wide basis. This position interacts regularly with senior level administration and with state and federal regulatory offices. This position reports to the ASU Senior Vice President & General Counsel.

The primary focus of the position will relate to advising the University on complex business transactional matters, including advising the University's Research Enterprise ("Knowledge Enterprise" or "KE"). To excel in this role, the candidate should have experience working with both federal and non-federal sponsors, a deep knowledge of relevant federal regulations and agency policies, and the capability to develop, review, and negotiate a range of agreements, including handling disputes related to them. The ideal candidate will have a solid background in business transactions, academic and research compliance, federal contracting and grant regulations, and be adept at managing diverse legal matters.

This position's responsibilities include:

  • Supporting KE in various complex business transactions, including handling diverse agreement types and related legal matters

  • Providing legal advice and guidance on a broad range of issues, including general business transactions, research agreements and compliance issues, administrative law matters, and academic affairs.

  • Negotiating, drafting, and reviewing a wide variety of agreements for a Tier 1 public research university, including procurement and other general agreements, research collaborations and grants, data use agreements, intellectual property licenses, services agreements, master agreements, and student clinical placements.

  • Supporting KE by taking the lead and/or advising on research grants and awards, intergovernmental agreements, conflict of interest matters, regulatory requirements, contract disputes or terminations, and compliance matters.

  • Advising on compliance with federal and state regulations, including the Federal Acquisition Regulations, uniform guidance, and export controls.

  • Conducting training sessions for faculty and staff on compliance and legal best practices.

  • Participating in the development and implementation of policies and procedures for KE.

Specific assignments are based on the needs of the university and the background and workload of the attorneys in the office.

Working Environment

  • Work is performed primarily in a standard office environment subject to prolonged periods of sitting and operation of computer equipment requiring keyboarding.

  • Travel to other offices at the Tempe campus and other ASU campuses is required.

  • Some out-of-state and overnight travel may be required.

Minimum Qualifications

J.D. degree from an ABA accredited law school and six (6) years of experience as a practicing attorney, including experience in the primary practice area(s) designated by the Senior Vice President and General Counsel; OR, any equivalent combination of experience and/or education from which comparable knowledge, skills and abilities have been achieved. Must be a member in good standing with the State Bar of Arizona within twelve (12) months of hire or qualify for and registered as in-house counsel in Arizona.

Essential Duties

  • Prepares legal opinions and provides advice for administrative offices and academic units based on an analysis of applicable federal and state law and regulations, Board of Regents policies and University policies.

  • Takes the lead on preparing, negotiating, and reviewing agreements and other legal documents primarily for KE, but when needed other various University offices and departments.

  • Handles or assists in the handling of university transactions, litigation, and administrative proceedings relating to the research enterprise.

  • Advises KE, University boards, offices and committees on responsibilities and policies/procedures to be utilized.

  • Assists in analyzing and advising on legal implication of policy decisions, contractual relations and regulatory compliance matters.

  • Represents KE and the Office of General Counsel at meetings and conferences, as required.

  • Researches and analyzes a wide variety of laws, regulations, legislation, legislative history and policies; studies proposed or existing legislation for implications to the University and works with affected departments on revisions to processes, etc.

  • Confers with outside legal counsel in areas of specialty law as necessary.

  • Collaborates with outside legal counsel on transactional, litigation, and administrative matters as necessary.

  • Maintains effective working relationships with university administrators, with outside counsel, and with appropriate regulatory, legislative and other legal resources.

  • Assists in development and presents a variety of preventive law programs for the University.

  • Assists in the identification, review, and redaction of documents responsive to requests for public records.

  • Collaborates with contracting officers to interpret legal terms, manage university agreement positions, and address related matters.

  • Assumes other duties as may be assigned.

Salary Range

$178,190 per year
