Rosetta Stone Inc. (NYSE: RST) is seeking to add an attorney with 0-3 years of experience (either law firm, clerkship or in-house) drafting, reviewing and negotiating a wide range of technology and commercial contracts. It would be helpful if the candidate has work experience with intellectual property (software licensing) and/or data privacy and security matters, but these are not required. This is an excellent in-house opportunity for a new or junior attorney. Must have solid contracts experience and the ability to multi-task effectively in a fast-paced environment. Excellent written and oral communication skills needed. This attorney may work from RST's Arlington, VA or Concord, MA offices.

ESSENTIAL DUTIES AND RESPONSIBILITIES: The Assistant Legal Counsel will provide services to the entire company both domestically and internationally. Principal responsibility will be contract drafting, negotiation and administration. However, this is presently a small legal department, so the Assistant Legal Counsel will be called upon to contribute as needed in a variety of areas, including, without limitation:

  • Negotiating and drafting a range of domestic and international commercial and technology agreements, such as sales, vendor and reseller contracts, licensing and distribution agreements, software licensing (inbound, outbound, OEM) agreements, professional services agreements, and product development, content/data and marketing agreements

  • Advising internal clients on domestic and international legal requirements relating to data privacy and security

  • Performing other legal work as requested by management, which may relate to intellectual property, human resources, marketing and advertising, securities and corporate governance matters, among others

  • Assisting in ongoing business relationships with customers, resellers, licensees, suppliers and other business partners

  • Advising internal clients regarding legal requirements, best practices, and strategies for managing risk

  • Researching relevant statutes, rulings, and precedents to be used as a basis for answering requests for legal opinions of a routine nature or limited scope

  • Developing, conducting and managing training programs for clients throughout the company to best ensure legal compliance and protection of RST's interests in all transactions

  • Creating and maintaining contract templates and processes

  • Assisting in dispute resolution matters

  • Working in a cost-effective manner with outside counsel, as necessary, in the above matters

SUPERVISORY RESPONSIBILITIES:

No direct reports. Influencing and cross-matrix working skills are essential to assign and supervise the effective completion of tasks with project teams and individuals that report directly to other supervisors.

QUALIFICATIONS:

  • Education: Law degree from a top-ranked U.S. law school, admission to the bar of at least one state (or bar admission is in process), and willingness to be admitted to local state bar (VA or MA) required.

  • Prior Experience: 0-3 years of directly related legal experience through a law firm, clerkship and/or in-house legal department.

  • A passion for providing unparalleled client service

  • A high level of professionalism and outstanding business judgment

  • Strong interpersonal communication and relationship-building skills to establish cross-functional, cross-cultural, collaborative relationships with clients at all levels

WORKING CONDITIONS:

  • Work is normally performed in an office environment, however RST and the law department are supportive of flexible working arrangements.

  • Occasional travel and extended hours at times may be required.

This attorney may work from RST's Arlington, VA, Seattle, WA or Concord, MA offices. Summary: The Director, Legal & Assistant General Counsel will provide services to the entire company. The ideal candidate will work efficiently and collaboratively with in-house marketing and sales personnel, primarily by providing counsel on matters relating to the digital marketing and advertising and sales of products and services. S/he will also work with in-house business personnel in the drafting and negotiation of transactions and contracts. Essential Duties and Responsibilities: Principal responsibility will be advising the business on legal issues relating to the digital marketing and advertising of SAAS products and services to consumers and institutional customers and contract drafting and negotiation. However, this is presently a small legal department, so the Director, Legal & Assistant General Counsel will be called upon to contribute as needed in a variety of areas, including, without limitation: * Developing, conducting and managing policies and training programs for the marketing, sales and other departments to best ensure legal compliance and protection of RST's interests. * Providing advice to internal clients regarding proposed transactions and strategic initiatives, interpretation of relevant statutes and current contracts, corporate and commercial law and business issues arising in conjunction with RST's business relationships. * Supporting litigation efforts related to commercial matters. * Exercising cross-departmental leadership and excellent interpersonal skills for the purpose of building trusted relationships between Legal and its internal clients. * Researching relevant statutes, rulings, and precedents to be used as a basis for answering requests for legal opinions of a routine nature or limited scope. * Creating and maintaining templates and processes that are effective and efficient. * Working in a cost-effective manner with outside counsel, as necessary, in the above matters.
