The Capital Markets Documentation Unit is responsible for negotiating and managing the International Swap and Derivatives Association (ISDA) and other similar contracts between the firm and our customers. Currently, Citi is seeking candidates to become part of a new legal team that will provide support for contract negotiations for Citi's derivative trading and clearing business.
The position will act in an advisory role for a wide range of legal issues relating to derivatives agreements and transactions and provide legal assistance to a team of professional negotiators in a large corporate legal department.
Key responsibilities include:
Drafting standard templates, agreement language, and legal opinions, providing advice and direction to negotiators, and in some cases, negotiating and drafting the more complex contract provisions in documents such as ISDA Master Agreements and Credit Support Annexes, OTC Clearing Documentation, Futures Agreements, Give-up Agreements, Master Securities Forwards Transactions Agreements, Securities Lending, Loan Documentation, Long Form Confirmations and ancillary documents such as guarantees, account control and non-disclosures agreements.
Advising business partners and other departments such as credit and treasury on contract interpretations as well as regulatory and commercial law issues relating to contract documents.
Participating in regulatory initiatives and special projects relating to Capital Markets Documentation.
Managing the legal netting and collateral process, including maintenance of legal opinions and supporting memorandums as well as oversight of the netting repository.
Reviewing and revising the team's negotiation policies, procedures, and guidelines.
Supervising outside counsel in the delivery of (1) enforceability and netting opinions for derivatives and foreign exchange documentation for jurisdictions in the North American region and (2) annual updates for such opinions.
Representing Citi on industry documentation committees for the relevant product areas in North America.
This role reports to Senior Management in the Legal Department and may also participate in internal committees and assist with internal/external documentation audits and regulatory inquiries.
JD from an accredited US law school and a current attorney's license.
7+ plus years of experience in a legal practice, preferably at a major law firm or in-house corporate legal department with direct ISDA and capital markets experience
Demonstrated leadership abilities and willingness to train/mentor junior lawyers.
Qualified candidates must have must have demonstrated ability to analyze issues, problem solve, develop recommendations, and multi-task in a fast-paced, high volume environment
Strong interpersonal skills with proven ability to communicate effectively* and work well in a team environment
Possess strong drafting and negotiating skills and have the ability to work collaboratively and effectively under pressure and tight deadlines
