Job Title: Assistant General Counsel

Location: Somerset, NJ

Position Summary

The Assistant General Counsel will be an important member of the Legal and Compliance Department, providing direct support to one of our Associate General Counsel and to the Company's Biologics and Gene Therapy business unit, as well as providing support as needed to other department personnel on a wide variety of matters. This attorney will also provide advice on, and assistance in negotiating and documenting, many types of commercial and other relationships in the region, as well as mergers and acquisition matters and all other matters relating to the success of the region. From time to time, this may include legal advice and support on business disputes, personnel matters, and real estate issues, as well as legal training for the region's business development team. The attorney will liaise as needed with other support and business functions to resolve issues. The attorney will also supervise junior legal personnel in the region.

The Role

  • Draft, review, analyze, structure and negotiate manufacturing, packaging, pharmaceutical development, purchase, supply, license and master service agreements

  • Advise regional personnel with respect to compliance policies, customer and vendor relations, contract matters, regulatory issues

  • Assist in merger & acquisition and corporate governance activity relating to the region

  • Provide general advice to senior management of the region and other regional managers on a day-to-day basis

  • Provide advice and guidance for the accomplishment of the overall business objectives of the region in compliance with applicable laws and regulations and avoidance of unacceptable risks

  • Develop a thorough understanding of and familiarity with the BU's business and its people, products, technology, markets, facilities, customers, and competitors in order to identify trends and formulate business and legal structures and strategies accordingly

  • Ensure that all regional activities are conducted in compliance with all applicable legal requirements worldwide and internal policies and procedures

  • Make presentations to Company personnel on legal issues as needed Supervise paralegals and junior attorneys, including training and mentoring as appropriate

The Candidate

  • Able to practice (to the extent required) as an in-house lawyer in NJ

  • Minimum of 5-8 years of transactional/commercial law experience with a combination of large law firms and/or in-house pharmaceutical experience

  • A business person's lawyer with solid judgment, particularly in determining the significance of legal matters and when to elevate them to more senior Department personnel and in effectively measuring and minimizing risks

  • Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs

  • Ability to take on large projects, create and present a plan of action, and independently manage projects to favorable resolution or conclusion

  • Ability to maintain high level of integrity of confidential and sensitive information and credibility within the organization

Key Accountabilities: * Manage the accounts payable and receivable process. Obtain purchase Orders, validate and process invoices. Contact vendors regarding discrepancies. * Review, transmit and Manage weekly payroll process. Reconcile any issues that occur. * Assist the General Manager with the month end close process. * Type correspondence and reports from rough drafts, editing grammar, punctuation or spelling as needed. * Use considerable judgment and initiative to determine the approach or action to take in non-routine situations. * Screen telephone calls and visitors, ascertaining who can be redirected to subordinate managers or to other offices. Provide information to callers, requiring detailed knowledge of manager's area of responsibility and General knowledge of company policies, practices and operations in an expeditious and courteous manner. Perform broad range of administrative details of highly confidential nature on a regular basis, requiring initiative and judgment to make independent decisions for which probable errors may have moderate effect on cost. * Prepare a variety of highly confidential, specialized, and recurrent reports such as financial data.
