Assistant General Counsel

Reporting to the General Counsel, the Assistant General Counsel will support the organization on a wide variety of matters including serving as primary legal advisor to our global supply chain organization, Latin America Business, and real estate services team. This role will include significant contract drafting and negotiations, including: domestic and global supply chain purchase agreements, OEM agreements, inter-company agreements, indirect procurement agreements, IT procurement agreements and software licenses, and lease agreements for our global real estate portfolio.

This person will have significant interaction with internal counsel, business managers and outside counsel, so he/she must possess strong judgment, collaborative problem-solving skills and be quick, sharp, and confident.


  • Review, draft, and negotiate contracts for Allegion's Global Supply Chain activities.

  • Support and advise on supply chain risk assessments.

  • Review, draft, and negotiate indirect service agreements, capital purchases, and product design agreements.

  • Review, draft, and negotiate IT procurement contracts.

  • Review and negotiate real estate leases and manage other real estate transactions.

  • Lead and manage process improvement initiatives for our procurement contracting processes.

  • Assist General Counsel in review and advice for supplier compliance issues.

  • Advise and collaborate with supply chain representatives regarding supply chain transparency regulations and compliance.

  • Manage outside counsel to Allegion supporting key strategic initiatives. Advise internal clients on various legal and operational issues.

  • Other duties as required based on business and legal needs.

Specific job requirements:

  • J.D. from an ABA-accredited law school.

  • 6+ years of relevant experience; prior in-house experience preferred.

  • Strong contract drafting, review, and negotiation skills.

  • Broad background with exposure to a variety of issues, including work in Supply Chain area.

  • Must possess sound character, excellent legal and business judgment, be self-assured, and able/willing to take on miscellaneous tasks as they arise and learn new areas of law.

  • Nimble; ability to prioritize, work without supervision, and effectively manage a large variety and number of matters

  • Excellent written and verbal communication skills and the ability to work well with business colleagues, clients, outside counsel and opposing counsel.

  • Ability to provide creative, business-oriented legal advice in a fast-paced, demanding environment
