Position Summary

The Assistant Corporate Secretary provides a wide variety of administrative support to executive staff, working closely with Board of Directors and senior management on related activities and meetings, providing assistance to management in the preparation of regulatory and other business filings and corporate documents.

The following duties are intended to provide a representative summary of the major duties and responsibilities and ARE NOT intended to serve as a comprehensive list of all duties performed by all employees in this classification. Incumbent(s) may not be required to perform all duties listed and may be required to perform additional duties.

Essential Duties and Responsibilities

  • Provide administrative support to executive staff and the Board of Directors.

  • Act as liaison to Board of Directors and Committee members.

  • Oversee the administration of the Board of Directors' meetings to include preparing the facility, compiling meeting packets, distribution of packets, and providing technical assistance.

  • Research Shareholder inquiries and provide Corporate Secretary with summary response.

  • Coordinate regulatory exam events to include distribution of exam requests, and ensuring requested data is provided to regulators.

  • Calculate, document and file stockholder cash dividends.

  • Respond to comments initiated through Customer Comment Center.

  • Complete department certifications.

  • Administer the bank-wide notary program; and bank-wide process for official check signing authorities and overdraft limits.

  • Reconcile executive credit card statements and department invoices.

  • Maintain the Langland Boardroom and department.

  • Greet visitors and callers to the Executive Department.

  • Other duties as assigned.



  • High School Diploma or equivalent.


  • Six years of progressively responsible work experience in an executive office or comparable environment.

  • Any equivalent combination of education and/or experience that fulfill the requirements of the position may be considered.

  • Related military education/experience may be used as a substitute for education or work experience.

Knowledge & Communication Skills

  • Strong technical writing and proofreading skills.

  • Excellent verbal and written language skills. Ability to communicate and follow-up effectively with customers, employees, management, the Board of Directors, and vendors.

  • Ability to read and comprehend technical procedures and governmental regulations and the ability to communicate the same to others.

  • Able to add, subtract, multiply and divide using whole numbers, common fractions, and decimals.

  • Knowledge of corporate record keeping requirements, local, state and federal laws as related to banking and financial institutions.

  • General understanding of securities regulations and NASDAQ requirements as they pertain to routine assigned regulatory filings or reporting requirements performed.

  • High degree of confidentiality required.

Analytical & Decision Making Skills

  • Ability to resolve complex and unique questions or issues and use sound judgment in the course of the work.

  • Logically and judiciously analyze data and determine how best to track, maintain and present information in a report format.

  • Ability to research and apply legal and regulatory matters pertaining to corporate structure, governance and regulations within the banking industry.

  • Effectively manage multiple priorities at the same time.

  • Complete work assignments independently and with minimal supervision. Ability to use good judgment in meetings and resolving complex and unique questions or issues.

Computer/Software/Other Equipment Skills

  • Proficient knowledge of MS Office Suite, including Word, Excel, PowerPoint, and Outlook. Ability to operate standard office equipment such as PC, printer, fax/copier, and telephone.

Working Conditions

  • The noise level in the work environment is usually moderate.

  • Work is performed in a professional office environment.
