Essential Job Functions

Main functions & skill sets include some combination of the following:

  • Own aspects of broker/dealer oversight activity for J.P. Morgan Institutional Investments Inc. and JPMorgan Distribution Services, Inc. as requested by management

  • Support regulatory dealer manager responsibilities for the publicly offered alternative funds

  • Drive effective management of the broker dealer in partnership with compliance, sales management, and other senior leaders in asset management (coordination of policies, procedures, controls, consistent flow of communication between areas)

  • Participate on major projects impacting broker/dealers (regulatory changes, mutual funds, etc.) to plan and carry out details necessary to complete the project

  • Own Board Reporting: coordination, collection and review of material (quarterly, annually) for distribution to boards

  • Create and present quarterly Distributor reports to the Fund Governance Committee

  • Ongoing Due Diligence review of Intermediaries utilizing regulatory knowledge and various resources (newsletters, regulatory notices) to identify/escalate potential concerns to Intermediary Oversight forum

  • Business oversight to include surveillance of registered representative electronic communications with escalation of potential issues to management, determine requirements/who s/b licensed and Supervisory structure

Knowledge and Skills Required for Essential Job Functions

  • Experience (5+ years), with broker dealer oversight and supervision for mutual fund, ETF and private funds required.

  • Experience (5+ years) and knowledge of Mutual Fund distribution related fees including 12b1 and Shareholder Servicing Fees under the Investment Company Act of 1940

  • Knowledge of FINRA and Investment Company Act of 1940 regulations

  • Knowledge of mutual fund service provider structures and related interdependencies

  • FINRA licenses - Series 7 & 24 required. Candidates not yet licensed will be required to obtain both licenses (Series 7 & Series 24) in the 1st 6 months of employment

  • Strong written and verbal communication skills

  • Technically proficient with standard office computer applications (Excel, Word, Power Point)

  • Project management experience a plus

  • Must be able to work independently within a team environment, and demonstrate flexibility and ability to adjust quickly to the changing demands of the business and team

  • Must be customer focused

  • Must maintain an extremely high level of attention to detail

  • Must have strong organizational skills, be able to balance multiple projects simultaneously and work well in a deadline orientated environment

  • Must possess continuous process improvement mindset

  • Good problem-solving skills, ability to think of multiple alternatives/angles and identification of pros/cons

  • Professional presence required

Decision Making Authority

  • Commensurate with experience level, incumbent may be involved with recommendations, decision making concerning the day-to-day operation and oversight of the various entities

  • Need to exercise good judgment in escalating issues in a timely manner

VIEW JOBS 9/29/2022 12:00:00 AM 2022-12-28T00:00 <p><strong>Vice President – Asset Management (NYC or Miami)</strong></p><p><strong>NYC Investment Management Firm</strong><br></p><p>J Harlan Group is currently conducting a search for an experienced and highly motivated Vice President – Asset Management for a prominent Private Credit Fund Manager in either their New York City Headquarters or in their Miami office.<br></p><p>The firm’s Asset Management team builds robust relationships with portfolio companies utilizing a customized process to learn and monitor the intricacies of a business’ operations and key performance indicators, with the goal of maximization of return for the firm’s investment portfolio. In addition to investment and credit monitoring experience, Vice President candidates will be expected to have the financial and legal analytical skillset, business judgment, and maturity to own and manage multiple monitoring relationships from initial funding to exit.<br></p><p>An exciting opportunity, to manage, monitor post-investment relationship with multiple portfolio companies from deal close to exit<br></p><p><strong>Key Responsibilities:</strong></p><ul><li>Manage monitoring and post-investment relationship with multiple portfolio companies from deal close to exit</li><li>Interface with portfolio company executives to understand operational milestones and work with them to accomplish their goals</li><li>In the event of covenant breach, default, or other crises: (a) identify and recommend solutions, (b) lead execution of the chosen solution or set of solutions, which may range from legal, financial or operational remedies, which can often include working directly with the management team and/or external advisors</li><li>Collaborate with colleagues to evaluate runoff alternatives and supervise liquidations & restructurings</li><li>During deal execution, perform operational diligence of borrowers and work with investment team to develop reporting and key performance indicators for portfolio companies and help structure monitoring packages</li><li>Establish and track loan covenants and other early warning indicators to ensure compliance and alert to risk</li><li>Prepare portfolio updates and KPI performance that will be presented to the Investment Committee</li><li>Communicate findings and analyses, across mediums, with team and firm senior management</li><li>Develop sector intelligence to support monitoring, new deal execution and Firm knowledge base.</li></ul><p><strong>Qualifications:</strong></p><p><strong>Essential Skills/Background:</strong></p><ul><li>Vice President candidates must have 7+ years of experience with either (or both) of the following backgrounds:<ul><li>Corporate restructuring, private credit, private equity, or special situations, specifically with hands-on experience in directly managing workouts, restructurings, and crises management with borrowers and company managers.</li><li>Chief Financial Officer (CFO) with (i) ideally a track-record of operating one or more private-equity backed companies in multiple industries, (ii) advanced familiarity with complex capital structures, (iii) experience negotiating complex commercial and credit agreements as well as managing lenders and investors in both healthy-state and crisis situations, (iii) ability to operate in a fast-moving environment, to rapidly absorb the fundamentals of new industries and business models, while managing multiple projects simultaneously, and (iv) ability to both manage small project teams and also directly impact as an individual contributor.</li></ul></li><li>Interpersonal skills and maturity to communicate effectively with lower middle market management teams and extract actionable intelligence from complex situations</li><li>Advanced Excel Skills: Ability to build operational and financial models, correlation, valuation, runoff, liquidation, and various other types of analyses with limited supervision</li><li>Proven and demonstrable analytical capabilities, ability to creatively extract and evaluate relevant data points from imperfect sets of information</li><li>An entrepreneurial mindset and the capability to manage multiple complex situations in parallel, understanding the operating requirements of private businesses during growth, evolution and potentially turnaround phases</li><li>Effective writing skills for the creation of memorandums and investment performance summaries</li><li>Ability to understand and negotiate complex credit and other legal agreements</li><li>Advanced familiarity with capital structure and corporate debt including - Leveraged Finance; Restructuring; Structured Finance; and ABS</li></ul><p><strong>Education:</strong></p><ul><li>Strong academic record and a bachelor’s or higher degree in Finance, Business, </li></ul><p>Accounting, Engineering, Mathematics, or Sciences preferred</p><ul><li>MBA, CFA or other relevant graduate degree or certification a plus.</li></ul><p>An individual who loves solving deep and complex investment / asset management related matters and wants to have an outsized impact on the firm’s asset management abilities.
