Job Description:

The Acquisition Accounting Manager will be critical in the company's acquisition financial reporting and integration process. Reporting to the Corporate Controller, this position will own all aspects of acquisition accounting, participate in due diligence and post-acquisition activities, track periodic performance, and participate in pre- and post-acquisition financial models, including model upkeep. Perform assigned accounting duties as required.

Responsibilities:

Financial Due Diligence:

  • Participate in financial due diligence on target companies to assess their financial performance, accounting practices, and potential risks and opportunities.

  • Assist with preparing detailed financial models and sensitivity analyses to support valuation assessments, and negotiation strategies.

Acquisition Accounting:

  • Lead the accounting and financial reporting for all acquisition transactions, including fair value assessments, purchase price allocation, and preparation of related journal entries in accordance with accounting standards.

  • Evaluate and document the accounting treatment for complex acquisition-related matters, such as contingent consideration, earn-outs, and intangible assets.

  • Post-closing, obtain monthly trial balances from the acquired entity, review monthly reporting packages, and analyze transaction details to ensure accurate classifications and reporting.

  • Coordinate the ongoing acquisition valuation process, derive and record necessary accounting adjustments, prepare required public reporting footnote disclosures, and participate in auditor review.

  • Collaborate with cross-functional teams, including legal, finance, and operations, to ensure timely and accurate recording of acquisition-related transactions and expenses.

Post-Acquisition Responsibilities:

  • Coordinate with internal stakeholders to develop and execute post-acquisition integration plans, including financial systems integration, processes, and controls.

  • Monitor integration activities, identify potential issues or challenges, and develop solutions to ensure successful integration of acquired entities.

  • Support integrating acquired companies into the company's financial reporting structure, including consolidation and reporting requirements.

  • Keep forecast models current, coordinate annual budget preparation for approval and consolidation, and participate in periodic carrying value assessment of intangibles

  • Develop and iterate a 90-day cross-functional roadmap for post-close activities.

Financial Reporting and Analysis:

  • Assist in preparing financial statements, footnotes, and disclosures related to acquisitions for inclusion in SEC filings (e.g., Form 10-K, Form 10-Q).

  • Prepare periodic reports and analyses on acquisition-related matters, including financial performance, synergy realization, and integration progress, for senior management and the board of directors.

Compliance and Documentation:

  • Ensure compliance with accounting standards, regulatory requirements, and internal policies and procedures related to acquisition accounting and financial reporting.

  • Maintain accurate and comprehensive documentation of acquisition accounting processes, assumptions, and conclusions for audit and review purposes.

Qualifications:

  • A bachelor's degree in accounting, finance, or a related field; a CPA or advanced degree is preferred.

  • Big Four or similar experience preferred.

  • A minimum of 5 years of experience in accounting or finance, with a focus on acquisition accounting and financial due diligence, is required.

  • Strong understanding of U.S. GAAP and SEC reporting requirements, mainly related to business combinations (ASC 805) and fair value measurements (ASC 820). Knowledge of IFRS preferred.

  • Excellent analytical skills, with the ability to interpret complex financial data and communicate findings effectively to stakeholders.

  • Demonstrated project management skills, including managing multiple projects simultaneously and meeting tight deadlines.

  • Experience and proficiency with financial/accounting software (Xero, QuickBooks, Sage, Cube, Workiva, etc.).

  • Strong interpersonal skills, with the ability to collaborate effectively with cross-functional teams and build relationships with external stakeholders.
